THE CORPORATION OF THE TOWNSHIP OF ORO
BY-LAW NO. 90-64
Being a By-law to Establish, operate, Maintain and
Imrpove an Aerodrome, and to Enter into and
Perform an Agreement with another council for the
FUlfilling, Executing or completing at Joint Expense and
for Joint Benefit any Service, and for Entrusting the
control and Management of an Aerodrome to a commission
Appointed by council
WHEREAS section 208(10) of the Municipal Act, R.S.O. 1980, as
amended authorizes a Council of a Municipality to pass a by-law
for the establishing, operating, maintaining and improving of an
aerodrome in compliance with the Air Regulations (Canada);
AND WHEREAS section 208(10) of the Municipal Act, R.S.O. 1980, as
amended further authorizes a Council to entrust the control and
management of any aerodrome so established to a Commission
appointed by the Council;
AND WHEREAS Section 208(5) of the Municipal Act, R.S.O. 1980, as
amended authorizes municipalities to pass a by-law for entering
into an agreement with one or more municipalities for the joint
management and operation of municipal services and for the
establishment of joint boards of management thereof;
AND WHEREAS The Corporation of the Township of Oro deems it
expedient to enter into an agreement with the corporation of the
City of Barrie and the corporation of the city of Orillia with
regard to the matters set out in the Municipal Act, referred to
above;
NOW THEREFORE the Council for the corporation of the Township of
Oro hereby enacts as follows:
1. THAT the Corporation of the Township of Oro enter into
an agreement with the Corporation of the City of Barrie
and the Corporation of the City of orillia, such
agreement attached as Schedule "A" to this by-law and
forming part hereof, to establish, operate, maintain
and improve an aerodrome to be located in the Township
of Oro, and the Township of Oro does hereby establish,
and agree to operate, maintain and improve the said
aerodrome in accordance with the said agreement.
2. THAT the Corporation of the Township of Oro establishes
and entrusts the control and management of the said
aerodrome to a Commission to be known as the "Oro-
Barrie-Orillia Airport Commission" (or any other such
similar name as the Minister of Commercial and Consumer
Relations may approve) in accordance with the said
agreement.
3. THAT the corporation of the Township of Oro enter into
an agreement, attached as Schedule "A" and forming part
of this by-law, with The Corporation of the city of
Barrie and the Corporation of the City of Orillia to
provide for the joint management and operation of the

4. THAT the Reeve and the Administrator/Clerk be
authorized to execute the said agreement on behalf of
the Corporation of the Township of Oro.

(hereinafter referred to as "Orillia")
WHEREAS the Municipal Act; R.S.O. 1980, c.302, s.208,
paragraph 10, authorizes a Council of a Municipality
to pass a by-law for the establishing, operating,
maintaining and improving of an aerodrome in
compliance with the Aeronautics Act, R.S.C. 1985
and/or Air Regulations (Canada);
AND WHEREAS s.208, paragraph 5 of the Municipal Act
authorizes municipalities to pass a by-law for
entering into and performing of any agreement with
any other Council for fulfilling, executing or
completing at their joint expense and for their joint
benefit any service within the jurisdiction of the
Council;
AND WHEREAS, pursuant to the provisions of S. 208,
paragraph 10 of the Municipal Act, a Council is
empowered to pass a By-law entrusting the control and
management of any aerodrome established pursuant to
paragraph 10 to a Commission appointed by Council;
AND WHEREAS, pursuant to the provisions of S.208,
paragraph 10 subparagraph (a) of the Municipal Act, a
Council of a local municipality may acquire land in
the municipality or in an adjacent or adjoining
municipality or in any adjacent or adjoining
territory with Municipal Organization, or may acquire
by lease or otherwise, an existing aerodrome in the
municipality;

AND WHEREAS, the parties hereto deem it advisable to
establish an aerodrome in the Township of Oro and to
provide for the joint exercise in connection with
such aerodrome of all the powers and rights contained
in said s.208, paragraph IO and to entrust the
control and management of such aerodrome to a
Commission as hereinafter mentioned;
AND WHEREAS the Government of Ontario has made
available certain funds for the purpose of
establishing and maintaining such an aerodrome;
AND WHEREAS the Government of Canada has made
available certain funds for the purpose of
establishing and maintaining such an aerodrome;
AND WHEREAS the parties hereto deem it advisable to
take advantage of such funds for the purpose of
establishing, operating, and maintaining such an
aerodrome located in the Township of Oro, more
particularly described in Schedule "A" attached
hereto and forming part of this agreement;
AND WHEREAS the City of Barrie, on behalf of the
other parties, has entered into a subsidy agreement
with the Government of Ontario to access provincial
funds;
AND WHEREAS the City of Barrie, on behalf of the
other parties has acquired sufficient land for the
establishment of the said aerodrome;
AND WHEREAS the City of Barrie, having paid for said
lands, and related land assembly, legal and
consulting fees and having applied to the Government
of Ontario for an airport subsidy grant;
NOW THEREFORE THIS AGREEMENT WITNESSES that the
parties hereto in consideration of the premises and
the mutual covenants and agreements hereinbefore
contained and expressed, MUTUALLY COVENANT AND AGREE
as follows:
I. THAT the parties hereto shall establish an
aerodrome in the Township of Oro on the acquired
lands described in Schedule "A" hereto, and such
aerodrome is to be established in compliance with
the Aeronautics Act, R.S.C. 1985 and/or Air
Regulations (Canada).

MANAGEMENT:
Commission 2. THAT the management of such aerodrome is hereby
entrusted to a Commission to be incorporated
under the laws of the Province of Ontario as a
corporation without share capital to be known as
the "Oro-Barrie-Orillia Airport Commission" or
such other similar name as the Ministry of
Consumer and Commercial Relations may permit
(such commission hereinafter referred to as the
"Commission").
3. THAT the members of the Commission are to be
appointed by their respective councils to serve
at their pleasure and to represent the parties
hereto as follows:

3 representatives from Orillia
(b) that such representatives of each party are
to consist of at least one elected official
and at least one non-elected citizen of each
municipality.
Appointments
(c) that subject to the Councils' discretion to
replace their representatives at any time
the Councils shall endeavour to make their
appointments to the Commission on a rotating
basis for three (3) years. Provided however
that the initial appointments of the
representatives shall expire on November 30,
1991, and new appointments made at that
time.
Vacancy
(d) that in the event of a vacancy occurring,
the Council with the vacant position shall
appoint a new representative to fill that
vacancy forthwith, but only for such length
of time to enable the new representative to
complete the term of the previous
representative.

(e) that each representative shall be eligible
for re-appointment provided that no
representative shall serve for more than
three (3) consecutive terms, excluding the
initial appointment referred to in paragraph
(c) above.
THAT the positions of a chair and vice-chair
shall be elected from and by the representatives
and shall be nominees of the representatives
hereto and in such capacity shall exercise one
vote each.
THAT a quorum shall consist of five (5) of the
members of the Commission.
THAT immediately upon the execution of this
agreement and upon the approval of the Ontario
Municipal Board (if necessary) to all of the
services hereinbefore or hereinafter set out and
further authorizing the parties to execute this
agreement and immediately upon the Commission
being established, the parties to this agreement
shall entrust the management of the lands in the
Township of Oro and the said aerodrome to be
established to the said Commission for the
benefit of the parties to this agreement, the
aforementioned lands being described in Schedule
"A" attached hereto and the management of the
said aerodrome as described hereafter.
FINANCIAL:
THAT the parties agree that they (and each of
them) will pay to the Commission, the amount of
their apportionment as set out in paragraph 8
below immediately upon the execution of this
agreement and the approval of the Ontario
Municipal Board (if necessary) to any By-laws by
any of the parties hereto in connection herewith
and immediately upon the acceptance of the
Commission's Budget and further will remit any
additional monies as assessed by the Commission
and approved by the parties hereto from time to
time as set out in paragraph 8 of this agreement.

THAT the parties agree that further monies will
be necessary to initiate the said undertaking
beyond the monies received by grant from the
Government of Canada and the Province of Ontario.
These additional funds for initial design,
development, maintenance, administration,
operation and contingencies as may be required
and determined by the Commission shall be
authorized by the Councils of the Parties on an
annual budgetary basis with each annual
requirement to be contributed by the parties
hereto on an apportioned basis, such basis as
ascertained from the current 1990 Municipal
Taxable Assessment taken pursuant to Section 55
of the provincial Government Assessment Act, such
taxable assessment as equalized by the Assessment
equalization factor and adjusted annually:
(a) Barrie

(c) Orillia

9. THAT, as the subsidy received from the Ontario
Government covers only 50 - 80% of all the
expenditures for establishing the airport, Oro
and Orillia agree that, immediately upon
execution of this agreement, each of them will
reimburse Barrie for funds expended by Barrie for
the establishment of the airport, but not covered
by the provincial subsidy. Such reimbursement
will include interest lost by Barrie on such
money expended and shall cover all acquisition
and related costs as described in the Financial
Analysis attached as Schedule "B" to this
agreement.
10. THAT the commission shall be entrusted with the
financial management of the aerodrome as
hereinbefore provided and shall have the further
right and be responsible to:
(a) prepare a budget for the approval of the
parties for the 1990 calendar year as soon
as possible after being incorporated and
for each successive year thereafter;

submit its budget to each Municipality for
approval no later than the 15th day of
January in each year;
supervise the operation, maintenance and
future development of the said aerodrome in
accordance with the Aeronautics Act, R.S.C.
1985 and/or Air Regulations (Canada) and for
such purposes to expend a sum to be approved
annually by the parties based on the
assessment of each party hereto on its
respective share of such operational,
maintenance, and developmental costs in
accordance with the following schedule as
adjusted annually in accordance with the
procedure outlined in paragraph 8 above:

defaulting a payment as set out in 10(d)(i)
and (ii) above with interest to be charged
to the defaulting party or parties on the
unpaid portion of its apportionment
remaining after the effective due dates in
any year, at the rate the Commission would
be required to borrow money at the relevant
time whether or not the Commission is
actually required to borrow such money;

(f) take all steps necessary to obtain revenues
and required funding including all
applications to obtain grants for the
development, operation and maintenance of
the aerodrome from any source;
(g) take into account the amount of such grants
in the preparation of the Commission's
Budget from year to year along with any
other revenues obtained by the Commission;
(h) in the interest of providing revenue, be
authorized to lease any property or space
under the control of the Commission but not
deemed necessary for the immediate operation
of the aerodrome and, the parties agree,
that the proceeds from any such lease shall
remain with the Commission to be applied
against the operating, maintaining, and
developing costs of the aerodrome;
(i) ensure that the commission shall only have
the right to make expenditures in accordance
with the current budget authorized by the
parties hereto, and to ensure that the
commission shall not without the prior
consent of the parties hereto, spend any
monies that have not been authorized in the
current budget.
(j) ensure that it is understood and the parties
agree that the restriction on the expending
of money heretofore contained shall not in
any way apply to monies paid to, or
appointed to, or granted to the said
Commission by any persons, firms,
corporations, or any agency outside the
three levels of government.
(k) ensure that each party submits an invoice
for any aerodrome related expenses to the
Commission for approval and payment;
(I) ensure that, in the event that any party is
ever subject to pay taxes for land owned in
other municipalities, then the Municipality
receiving taxes for the airport shall refund
to the Commission that portion of the taxes
not attributable to the assessment for any
school board or County assessment;

ll. THAT prior to the Commission being incorporated,
all parties agree that the Oro-Barrie-Orillia
Airport Committee Executive shall be authorized
to seek the authorization of all parties for the
expenditures of all monies to expend such monies
as approved by the chairman of the Committee on
the authorization of all parties and in
accordance with Paragraph 8.
12. THAT the parties agree that, for the first year
from the date of incorporation, the Treasurer of
Barrie shall act as Treasurer for the Commission
and shall provide an annual financial audit to
all parties at the end of Barrie's fiscal year.

13. THAT the Commission shall be further entrusted
with the administration of the Airport Technical
Design Committee comprised as in Schedule "C".
14. THAT all parties may, at their discretion, have
staff representation on the Airport Technical
Design Committee.
15. THAT all parties agree that the scheduling of
design, calling of tenders, and the granting of
contracts for the construction of the airport
shall, as close as possible, follow the dates as
outlined in Schedule "C".
16. THAT all tendering documents shall be prepared by
the Airport Technical Design Committee and
submitted to the Commission.

THAT the Airport Technical Design Committee
shall recommend to the Commission all the steps
necessary for the successful constructing and
completion of an aerodrome in the Township of
Oro.
18. THAT the parties agree that prior to the
incorporation of the Commission, the Airport
Technical Design Committee shall be responsible
to all parties for carrying out its functions and
reporting through the Airport Advisory Committee
Executive.

ADMINISTRATION:
THAT the Commission shall be further entrusted
with the administrative function of the aerodrome
as hereinbefore provided and shall have further
right and be responsible to:
establish rules and regulations not inconsistent
with the provisions of this agreement for the
conduct of its meetings and for the management
of the said aerodrome and for the furtherance of
the projects authorized hereunder. Such rules
may be amended and changed from time to time
within the discretion of the members of the
Commission;
(b) make recommendations to the parties for the
construction of additional buildings or
facilities as the same may be from time to
time required;
(c) in the interests of expendiency or safety,
recommend to the parties the acquisition
and/or provision of such navigational aids
or aeronautical devices as may be required
by the Aeronautics Act, R.S.C. 1985 and/or
Air Regulations (Canada);
(d) ensure that air safety is the primary
operational goal of the aerodrome;
(e) be responsible for all public relations
involving all parties regarding the
aerodrome;
(f) market the aerodrome facilities in
accordance with good promotional strategies;
(g) call for proposals and/or tenders from an
appropriate party or parties with a view to
entering into contractual agreements with
such party and/or parties to provide for the

development, operation and maintenance of
the aerodrome or leasing arrangements as
provided for in paragraph 10 (h);
I

(h) conduct the business of operating the
aerodrome in accordance with good business
practices.
OWNERSHIP OF LANDS:

20. THAT the parties acknowledge and agree that
Barrie shall hold title to the said lands
described in Schedule "A" in trust for all
parties to this Agreement and that any
disposition of such lands will be in accordance
with Paragraph 21 of this agreement.

of Lands 21. THAT the parties agree that none of the lands
described in Schedule "A" attached or any lands
subsequently purchased shall be disposed of
except on the recommendation of the Commission,
subject to the approval of the Province of
Ontario and the parties hereto; and upon any such
disposition of the lands described in Schedule
"A" attached hereto the parties and the Province
shall share the proceeds in the following manner:

(c) Upon the disposition of any lands acquired
for the aerodrome and not described in
Schedule "A" attached hereto, the parties
shall share the proceeds in an amount equal
to the percentage of their relative
contributions at the time of acquisition.

22. THAT Oro agrees to consider the passing of a
by-Iaw(s) to effect any changes to their zoning
By-laws or Official Pian necessary to give effect
to the foregoing intentions of the parties and in
order to comply with the Aeronautics Act, R.S.C.
1985 and/or Air Regulations (Canada).

Membership 23. THAT the parties agree that in the event another
Mun~cipal corporation wishes to become a party to
the within agreement, it shall apply in wr~ting to
the Commission and acceptance shall be subject to
the approval of the Councils of the parties of
this agreement.

WITHDRAWAL FROM AGREEMENT:
Withdrawal
from
Agreement 24. THAT, following the certification of the aerodrome
by Transport Canada, any party to this agreement
may, upon delivery of one year's written notice to
the office of the clerk of every other party,
withdraw from this agreement. However, any and
all funds paid or authorized to be paid under
paragraph 8 of this agreement shall remain with or
be paid to the Commission.

25. THAT the parties agree that if any dispute arises
in connection with any of the provisions herein
contained between any of the parties hereto that
cannot be resolved by the Commission or by
tri-party negotiations, such disputes shall be
referred to the Ontario Municipal Board for
hearing and determination in accordance with the
Ontario Municipal Board Act, R.S.O. 1980, c.347,
s.53(1)(j).

NOTES TO FINANCIAL FORECAST
2 .
The original six million projected cost of the airport did not
include the purchase of the Vicic property.
The Vicic property was offered for sale to the municipalities
after the airport was announced and was purchased for $1,200,000
plus survey and legal cost of approximately $18,000 to allow
the installation of a secondary runway sometime in the future.
The new projected cost to build the airport with a primary runway
and facilities is now projected at $7,683,888 or $1,683,888
over the original estimate.
The analysis does not include the projected operational costs
for 1990-1991 at approximately $60,000 to be shared by the
Province and the three municipalities. The airport 1S eligible
for 50% subsidy on deficit operational budgets.
The analysis does not include projected operational revenues
through the rental of the two farms, leases, etc. to be arranged.

AIRPORT DESIGN
1. In reference to the Airport Design the following
approvals were received from the City of Barrie and the
Township of Oro in March 1990.
2. It is anticipated that with the signing of the Joint
venture Agreement all facets of this document will
continue as scheduled.
3. The following has been approved:
a) That the design and construction supervision
responsibilities for the subject airport
facilities be divided as follows and that the
parties involved be authorized to proceed
immediately.
b) City of Barrie Engineering Department, W.
McArthur, P. Eng., Sr. Project Engineer.
c) Responsibilities include:

- chairing design meetings
- co-ordination of consultants
- monitoring work plan and schedule
- final detailed design check

8. The design will be completed to facilitate construction
proceeding per the above noted tentative schedule.
Award of construction contracts will be subject to the
approval of the Councils of the City of Barrie and
Township of Oro, City of Orillia as well as the
Ministry of Transportation of Ontario.
9. The tentative schedule has been drawn up to allow the
earliest possible construction start. The project has
been split into separate contracts to allow the work to
proceed in a timely manner, keeping in mind the time
required for road closures to occur and the time
required for funding commitments to be received. The
goal is to ensure that completion of the Airport
Project to a gravel surface in 1990 for engineering
technical reasons.
10. The estimated design cost is approximately 5% of the
proJected construction costs, which is considered
acceptable by the M.T.O. for these types of projects.
11.
Proposals including a conceptual sketch will be
requested from local architects for the design of
terminal building. The proposals will be requested
the near future with actual designs and construction

property around the runways, that we now own, and this
could identify excess holdings. If this should happen

reimbursed as per the formula if a sale were completed.

IS. The complete Oro-Barrie-Orillia Airport Facility,
following the above schedule, will allow the project to
be completed by late summer or early fall of 1991.
