Effective Monday, March 28, 2022, all Township facilities are open to the Public for
Customer Service (all meetings to remain virtual) with safety measures in place
including social distancing and discretionary masks/face coverings.
Residents and business owners are encouraged to continue to utilize online and
telephone services for Township related business; and staff continue to be available
to provide assistance by telephone or email.
Input on agenda items are welcome and encouraged.
The Township of Oro-Medonte has amended its Procedural By-law to allow for
electronic participation at Council meetings. Protocols have been established to
advise how to participate in the public portions of these meetings. Please visit the

All electronic Council meetings will be streamed live, where possible, on the Township
YouTube Channel. Council Agendas will continue to be published on the Civic Web
Meeting Agendas in advance of the meeting date in accordance with the Township's
Procedural By-law.

1. Call to Order - Moment of Reflection:
The Township of Oro-Medonte acknowledges that we are situated on the
traditional land of the Anishnaabek (A- nish- in- aa- beh) people, and
ancestral territory of the Huron-Wendat. The Anishnaabek include the Odawa

[Oh-DAH-wah], Ojibwe [O-jib-we] and Pottawatomi [boh-tah-WAH-toh-mee]
nations, collectively known as the Three Fires Confederacy. It continues
today as the home for diverse Indigenous Peoples including the historic
Metis Community in Penetanguishene.
The Anishnaabek people continue to have an enduring relationship with this
land, specifically the Chippewas of Rama First Nation, the Chippewa Tri-
Council and the Williams Treaties First Nations. The Huron-Wendat Nation
also continues to pay respect and protect their ancestors and heritage on this
land. We honour the Indigenous history and culture that has thrived for
millennia in this territory and the Treaties that bind us together as partners in
the spirit of a shared sustainable and prosperous future. We are all Treaty
People. Our commitment begins with acknowledging the Truth so that we
can move forward together towards Reconciliation.

Mayor H.S. Hughes assumed the Chair at the above noted time and called the meeting to
order.
The Township of Oro-Medonte acknowledges that we are situated on the traditional land of

1. Opening of Meeting:
Mayor H.S. Hughes assumed the Chair at the above-noted time and called the meeting
to order following a moment of silence.
2. Public Meeting:
a) Notice of Open House and Public Meeting Official Plan Review for the Township of
Oro-Medonte. NOMM
Mayor H.S. Hughes called the meeting to order and explained the public meeting is
being held in accordance with the provisions of the Planning Act to obtain public
comments with respect to the Township of Oro-Medonte Official Plan Review.

The following Township of Oro-Medonte Planning staff explained the purpose and effect
of the Official Plan Review: Andria Leigh, Deputy CAO/Director, Development Services;
Derek Witlib, Manager, Planning Services; Andy Karaiskakis, Senior Planner; Oliver
Ward, Planning Student. A PowerPoint presentation was presented.
The following provided public comments:
Sonia Faryna, on behalf of Horsehoe Valley Property Owners Association (HVPOA),
submitted and provided comments regarding the overarching policy for the Official Plan,
overall landscape comments over a period time, shared overarching concerns seem to
place priority on development pressures over protections and preserving land,
submitted detailed comments in May, introduction of plan regarding rural character, key
policy document importance comments, confirmation of growth targets concerns,
continue to question different land use designations comments, not opposed to
additional residential units within appropriate sized homes, comments to clarify short
term rentals and bed and breakfast establishments and in appropriate zones, two
specific mapping concerns re settlement boundaries in Horseshoe Valley area.
Kristine Loft had no comments at this time.
Linda Wells referred to her submissions of questions and had no further comments.
George and Pamela Jones agreed with the previous comments with respect to the
children's playground on Pods Lane, lot was designated as a gift to the community
when developed, belongs to the residents, yellow mapping of what is designated as
recreation areas are not the same as the play areas, would not like to see the lot
designated as recreational.
Peter Lavoie provided comments of a reasonable plan may be appealed due to
complexity and number of issues residing within it and suggestion of putting off adoption
of the Official Plan until the next term of Council is seated.
David Johnston, on behalf of Oro-Medonte Good Neighbours Alliance, commented
some points have already been raised, the Good Neighbours Alliance supports the
provisions of the proposed Official Plan, number of points in written submissions to
summarize, short term rentals commercial entities comments, comments of
misinterpretation of by-laws re bed and breakfast, comments to revise definition of short
term rental accommodation, revise bed and breakfast provisions, statement of historical
cottage rentals comments, clarification of dedicated rentals comments, revise short term
rental criteria, revise definition of a dwelling, Section 4.13 comments, new control to
proposed official plan for site specific short term rentals, Section 5.84 comments and
enforcement of by-laws.
Hartley Woodside provided comments on intensification in the growth management
section of the Official Plan, no need for further sprawl and rural subdivisions, inclusion

of Oro-Moraine as a natural heritage feature within the official plan, cultural heritage
follow through for a data base.
Kim Kosari and Karli Stevenson presented a pre recorded presentation with respect to
their comments on the development threat of the Oro Moraine.
Peter Dyck provided comments that he had questions which have been answered and
agrees with many comments, Exception #6 confusing if it is under County jurisdiction,
density concerns, transportation issues, rental accommodation, sewage and road
problems on Oro Moraine very concerning.
Dean Blain had no further comments and agreed with David Johnston comments.
Staff confirmed that no additional public registrations were received.
Staff confirmed that no additional correspondence from the public were received during
this meeting.
There being no further comments or questions, the meeting adjourned at 7.14 p.m.

6.a) Karla Musso-Garcia, Manager, Operations re: Recognition of Achievers
Recognition — Karla Musso-Garcia
Karla-Musso Garcia, the Township's Manager of Operations is being recognized as a "change
maker".
Karla started her career in Public Works in 2004 working with the City of Barrie. Over the years, Karla
has held several progressive positions with both the City of Barrie, and the Town of New Tecumseth
before coming to the Township of Oro-Medonte in 2018.
In all of her roles, Karla has been an agent of change, challenging the status quo, and a driving force
to improve road safety, infrastructure management, and the operational services residents rely on
municipalities for.
In addition to the countless hours Karla dedicates to her team and residents of Oro-Medonte, she is
committed to advancing the Public Works sector. Karla has previously served in a number of roles
with the Simcoe County Road Supervisor's Association including serving as the President. Karla also
became the first female Association of Ontario Road Supervisors Board Director and last week,
became the first woman to serve in a Vice President role for the association, and is set to assume the
President role in 2025.
The Township is extremely proud of Ms. Karla accomplishments, and we thank Karla for her ongoing
dedication and contributions to the Oro-Medonte community, and fellow colleagues.

It is recommended that:

Warminster Sideroad from Highway 12 to Townline Road;
3. And that the appropriate By-law be brought forward for Council's ratification.
Background:
The Township of Oro-Medonte regulates heavy truck traffic through By-law 2021-060
which prohibits general heavy truck traffic on certain roads.
Warminster Sideroad, between Highway 12 easterly to Townline Road, is a posted
50km/h collector residential road with two horizontal curves and a narrow road platform
with steep ditches. Danny McHugh Park and Richelieu Park Soccer Fields are also
adjacent to this road segment.
The Township of Severn recently implemented a heavy truck prohibition on Division
Road between Highway 12 and Burnside Line as it was being used to access the
quarries on Burnside Line by-passing the designated haul route (Burnside Line from the
quarries to Highway 11).
Since the implementation of this prohibition, the heavy trucks have started to utilize the
Warminster Sideroad as an alternate route to Division Road and the designated haul
route.

This resulted in concern expressed from residents regarding the volume of trucks and
their travel speed through this residential area.
Staff utilized the recently acquired "Black Cats" and validated a concern with heavy
truck traffic. Over a 13-day period over 606 larger sized vehicles were counted with an
average of 46 per day. While speeding was not really an issue, the perception of speed
is increased given the narrow road platform, steep ditches and horizontal curves.
Township staff have consulted with the Township of Severn about this proposed heavy
truck prohibition and the Township of Severn will be looking to extend a heavy truck
prohibition on the remainder of Warminster Sideroad from Townline Road easterly to
Burnside Line under their jurisdiction.
Analysis:
Implementing a heavy truck prohibition on Warminster Sideroad from Hwy 12, easterly
to Townline Road will assist in ensuring that heavy trucks utilize the approved haul
route, while also alleviating resident concerns about the large trucks.
The proposed amendment to prohibit heavy truck traffic is not anticipated to affect local
residents or businesses as there are provisions in the By-law which provide exemptions
for residents/businesses within impacted areas.
Financial / Legal Implications / Risk Management:
Additional signage requirements would be funded from the annual approved sign
budget allocation.

An advertisement for Tender OCS 2022-09 Supply and Delivery of Winter Sand was
posted on the Township website and advertised on the Biddingo (Government Contract
Portal) website. The tenders were opened at the Administration Centre on Thursday,
Sept 8, 2022 at 2:00 pm.

The tender was structured as a unit cost tender for the supply of sand, as well as mixing
salt and stacking the material at the four materials storage locations in the Township, plus
additional re-stacking of the Moonstone supply inventory in order to conduct repairs and
inspection. In the 2021/2022 winter season the Township used an approximately 14, 617
tonnes of sand/salt mix.
Three (3) tender packages were received prior to the tender closing.
No additional tenders were received after the advertised closing date and time.
Salt
The Township's current standard is to apply a mix of sand and 7% coarse road salt
mixed with a pugmill by weight on roadways and a 50/50 mix of salt/sand mix on
Municipal Parking lots, including the Fire Halls, the Community Arena, Community
Halls, and Administration Centre.
In 2021 , the Township, as a member of the Georgian Bay Purchasing Cooperative
(GBPC), a public sector bulk buying group, purchased salt at a reduced rate of $65.00
per tonne which provided better value and price stability for a 3-year term. The
2022/202 GBPC rate is $66.30 per tonne, which was locked in prior to the inflation rate
increase, and the contract does not allow for renegotiations of that price. In the
2021/2022 winter season the Township has purchased approximately 1218 tonnes of
salt.

The unit prices vary by location due to the distances and associated material trucking
costs. The estimated 2022/2023 required quantities in addition to existing material
inventory for each location are as follows:

Based on the following, Darren Neil and Son Hauling Ltd. is the low bid at an estimated
seasonal cost of $222,012.00.
The current sand market pricing reflects an overall increase of 12% per tonne from 2021
pricing, associated with the cost of materials and delivery. However, a corresponding
decrease of material utilization has been realized from the continued focus on material
management and implementation of spreader controls. Accordingly, the inflationary
increase is not anticipated to impact current budget allocations.
Winter Salt
The sand is mixed with 7% highway coarse road salt with a pugmill (pugmill cost included
in sand tonnage). The salt is to be purchased through the Georgian Bay Area Public
Purchasing Cooperative at a unit price of $66.30 per tonne for highway road salt and
93.92 per tonne for treated salt (used in parking lots and facilities). This represents a 2%
increase in the 2022/2023 salt cost. This was a result of joining the Georgian Bay Area
Public Purchasing Cooperative for a 3-year contract price which locked in the pricing in
2021 .
Estimating a 1190 tonne requirement for the 2022/2023 season, the cost for highway
coarse road salt is approximately $78,897 for roadway utilization and $25,000 for parking
lots, sidewalks and facilities.
Factors influencing cost of winter materials:
The volume of sand mix used during winter operations can fluctuate due to:
• The type of events - milder weather with increased fluctuations in temperature
require additional material application in event responses;
• The duration and frequency of severe winter events;
• The number of events: 63 in 2020 and 62 in 2021/2022-1

• In 2021/2022 season, there were a number of low precipitation events that
resulted in slippery conditions events a total of 62 precipitation winter events were
recorded which is 7 more than the historical 55 even average.
The volume of winter materials used also impacts a number of other operations activities
and infrastructure maintenance requirements such as sweeping, shouldering and
ditching. It is also an area that generates a significant amount of complaints from residents
who clean their abutting properties. The reduction in material application has also
contributed to increased productivity in the Township's road sweeping operations.
The implementation of the computerized spreader controls in 2018 continues to provide
the necessary data in order to adjust operational service levels and provides the
opportunity to control the sand output on a more consistent basis. Results continue to
demonstrate positive results. The baseline data collected has allowed for material
adjustments to be reflected in tendered documents.
The implementation of spreader control systems has resulted in a material reduction of
approximately 15,000 tonnes of sand material annually since 2018. This is in comparison
to the annual averages 2013-2017, which was 28,334 tonnes of annual sand utilization.
Previous to the implementation of the controls identified above, operations would see the
use of upward of 572 tonnes of sand per event. The implementation of material controls,
bi-seasonal calibrations, winter operations training and material monitoring has resulted
in a reduction of sand/ salt mix of approx. 342 tonnes per event since implementation.
The current average is 233 tonnes per event.
The material amount fluctuates based on the type of event and requirements for the road
surface conditions, however, as the number of storm events increases, the Township
has been able to reduce the sand/salt quantity overall. The material control management
has resulted in overall savings and has allowed for the market increases to be absorbed
into the existing budget, and allowed for winter material reserve to be established.
The implementation of these fleet/material monitoring systems has resulted in increased
fleet service technician requirements and in technical analysis requirements as new
service level requirements which will be evaluated as a component of the 2023 budget.
Financial / Legal Implications / Risk Management:
The 2022 budget allocation for Winter Materials is $464,000 which includes approximately
$20,000 for miscellaneous materials such as cutting edges, flags, and plow and wing
consumables. The projected spending in 2022 is anticipated to be within the current
budget allocation.
In 2018, a winter materials reserve was established to smooth any potential variances
associated with material usage.

The results of the tender reflects competitive market pricing for winter sand. Continuing
the contract for road salt supply through the Georgian Bay Area Public Purchasing
Cooperative will result in lower market costs and resulted in price stability during high
inflation variances.
Aligned with the Township's commitment to continuous improvement, a number of
initiatives are underway to improve winter control services and material management to
ensure optimal value to the Township's ratepayers.

Background:
The Township of Oro-Medonte regularly reviews Human Resources Policies to ensure

Analysis:
The Province of Ontario passed Bill 88, Working for Workers Act, 2022 which amended
the Employment Standards Act, 2000 requiring that Employers that employ 25 or more
employees on January 1 of any year are to have a written policy on the electronic
monitoring of employees in place. In accordance with the legislation staff have prepared
POL-HR-12 Electronic Monitoring Policy for Council's consideration.
In addition, amendments to policies were required in order to incorporate current
practices to ensure consistent application amongst all staff.

1. Purpose:
To establish a Policy for the Township of Oro-Medonte which reimburses employees and
their dependants for vision care up to a specified amount.
2. Scope:
This policy applies to Council Members and all permanent full-time bargaining unit excluded
employees at all locations of the Corporation.
3. Policy:
Note: For the purpose of this policy, the definition of dependants will be used as
outlined in the Corporation's extended health benefits package.
The Corporation will reimburse each employee and each of their dependants whom are
enrolled in the extended health benefit plan up to the amount as established for bargaining
unit employees for:
• Eyeglasses (lenses and/or frames) including prescription sunglasses;
• Contact lenses;
• Repairs to such lenses or frames;
• Laser Surgery; and/or
• Eye examinations
Benefits not used in the calendar year can be banked up to a maximum of double the annual
amount per employee or dependent.
The benefit banked vision care maximum may be shared among all members of a family.

The Corporation will reimburse each employee and each of their dependents whom are
enrolled in the extended health plan for one eye examination per 24 month period not
covered by OHIP to a maximum value as established for bargaining unit employees.
The Township of Oro-Medonte will not pay benefits for:
• Any expenses covered by the Workplace Safety and Insurance Board or any government
plan.
Guidelines
1) Employees must complete the Vision Care Reimbursement Expense Form (POL-
HR-5.03 — Form 1) and submit all prescription vision care expenses incurred to
Human Resources in order to be considered for payment.
2) Original receipts must be presented for payment. In the instance where reimbursement
is received through a spouse's employee benefit plan, a copy of the receipt may be
submitted with the original payment statement from the spouse's benefit carrier.
3) If the claim is for a dependant as outlined in the Township master benefit plan, their
name and date of birth must be indicated.
4) Reimbursement will be made within three (3) weeks of approval of the claim.

vacation entitlement based on their continuous years of service with the Corporation.
2. Scope:
This policy applies to all non-bargaining unit positions, at all locations of the Corporation.
All positions other than permanent full-time positions will be paid vacation pay in accordance
with the Employment Standards Act.

Length of Vacation
Upon completion of their probationary period, all employees with less than one (1) year of
continuous service from the last date of hire with the Corporation shall have their vacation
entitlement prorated, between the completion of the probationary period and the end of the

The qualifying year for each permanent employee shall be based on his/her anniversary date.
"Anniversary date" is the date on which the employee last commenced full-time employment

These entitlements may be increased for a new hire, as necessary, by Human Resources,
subject to the newly hired employee moving to the next vacation entitlement threshold only
upon obtaining the years of service with the Corporation associated with that threshold.
Vacation Scheduling
a) The Corporation shall attempt to provide vacations during the periods preferred by
employees; however, in scheduling vacations, the Corporation shall ensure that
operational requirements are met and that sufficient personnel are available to provide the
required level of service.
b) Applications for scheduling vacation shall be completed, authorized by the employee's
respective supervisor and be submitted to Human Resources.
Vacation Carry Over
Employees may carry over 5 vacation days per year to a maximum of 20 days.
Compensation for Holidays Falling Within Vacation Schedule
If a paid holiday falls or is observed during an employee's vacation period, he or she shall be
allowed an additional vacation day with pay at a time mutually agreed to.
Unbroken Vacation Period
The Corporation shall endeavor, when so requested, to schedule employees to receive an
unbroken period of vacation of up to two (2) consecutive weeks in duration. Vacations of a
longer duration shall only be approved by the Chief Administrative Officer. An employee shall
not be entitled to receive vacation pay in a lump sum payment without taking the
corresponding time off.
Illness or Accident During Vacation Leave
If an employee's vacation is interrupted due to illness or accident requiring hospitalization, the
period of hospitalization shall be considered sick time under the Corporations short-term
disability benefit provisions.
Unpaid Leave
Paid vacation credits shall not accrue while an employee is absent from work on an unpaid
leave of absence in excess of 30 consecutive days or more. In these circumstances,
employees shall have their annual vacation entitlement prorated accordingly.
Employees on pregnancy/ parental leave shall accrue vacation time off, but not vacation pay,
to be taken at the end of their leave unless agreed otherwise.

Vacation Pay on Termination
An employee leaving the employ of the Corporation and/ or severing his or her employment
at any time in the vacation year prior to using accrued vacation shall be entitled to a
proportionate payment of wages in lieu of such vacation.
In the event that an employee, upon termination, has exceeded the prorated vacation
allotment, the Corporation shall receive the right to deduct the necessary funds from the
employee's final pay.
Death and Vacation Pay
In the event of the death of an employee, his or her executor or administrator shall be entitled
to receive such vacation pay as may stand to the employee's credit, such to filing an
executed Succession Duty Release in appropriate form with Human Resources.

c) The Corporation may, in its sole discretion, grant an employee additional days off for
the purpose of attending a funeral outside the Province of Ontario.
d) The Corporation is entitled to demand proof of death, attendance at funeral and/or
relationship, and the employee shall provide same.
Jury Service or Court Witness Leave
a) The Employer shall grant an employee a leave of absence to serve as a juror, or to
attend at criminal court as a Crown witness pursuant to the subpoena, or as a witness
for the Employer in any legal proceeding. The Employer shall pay such an employee
his regular wage in respect of such leave. Any payment he receives in respect of jury
service, or as a witness for the Crown or the Employer, shall be forwarded to the
Employer immediately upon receipt thereof. The employee will present proof of
service, or attendance as the case may be, and the amount of any payment received.
b) The employee is required to notify the Employer as soon as possible of his selection
for jury service, or in the event he has been subpoenaed by the Crown to attend as its
witness in criminal court.
c) The employee is required to report to work at all times and on dates when not actually
required in Court.

Pregnancy and parental leaves will be granted in accordance with the Employment
Standards Act, 2000 (Ontario) subject to the following:
a) An employee who is on a pregnancy and/or parental leave as stipulated by the
Employment Standards Act, 2000 (Ontario), as amended from time to time, and has
applied for and is in receipt of Employment Insurance (EI) pregnancy/parental benefits
shall be eligible for a weekly supplemental benefit (the "SUB benefit"). The weekly
SUB benefit is calculated as the difference between seventy-five percent (75%) of their
regular weekly earnings and the sum of their weekly rate of El benefits and any other
earnings. The employee's regular weekly earnings shall be determined by multiplying
her/his regular hourly rate on her/his last day worked prior to the commencement of
the leave multiplied by her normal weekly hours. The SUB benefit will be paid in
accordance with the Employer's payroll practices, and is subject to all deductions
required by law.
The SUB benefit payment shall commence following completion of the Employment
Insurance waiting period and receipt by the Employer of the employee's Employment
Insurance cheque stub as proof that she/he is in receipt of Employment Insurance
pregnancy/parental benefits, and shall continue while the employee is in receipt of El
pregnancy benefits for a maximum period of twenty (20) weeks or the employee's
leave ends, whichever is sooner.
The employee does not have any vested right except to receive payment for the
covered unemployment period. Payments in respect of guaranteed annual
remuneration or in respect of deferred remuneration or severance pay benefits are not
reduced or increased by SUB benefit payments.
SUB benefit payments will not be used to reduce accumulated employment benefits
such as vacation leave or severance pay. Employees do not have a right to SUB
benefit payments except during the period of leave as specified in this clause.
SUB benefit payments are financed through the general revenues of the Employer and
the employee has no claim on any assets of the Employer or otherwise with respect to
the payment of SUB benefits.
b) The employee shall give the Employer four (4) weeks' notice, in writing, of the day
upon which she/he intends to commence her leave of absence, unless impossible.
c) An employee who intends to resume her employment on the expiration of the leave of
absence granted to her/him under this article shall so advise the Employer at least four
(4) weeks in advance of her intention to do so. Where requested by the Employer, the
employee shall provide a medical certificate confirming that she/he is capable of
returning to work.
Parental Leave
The Employer will abide by the requirement as set out in legislative requirements. For
greater certainty, Article (a) applies to parental leave on the same basis as those on
pregnancy leave. The twenty (20) week SUB benefit can be taken during pregnancy
leave, parental leave or a combination thereof.

Family Leave
The Employer will abide by the requirement as set out in legislative requirements.
Unpaid Leave of Absence
a) The Corporation may grant a leave of absence without pay to an employee for
personal reasons on an individual basis. All requests for such leaves of absence must
be in writing as far in advance as possible.
b) Employees are to submit written leaves of absence without pay requests to their
Senior Manager for consideration. Human Resources, in consultation with the
respective Senior Manager and Chief Administrative Officer, will confirm or deny the
request for such leaves as soon as practicable.
c) If the absence is in excess of thirty (30) working days or more, the employee shall not
accumulate service for the purpose of vacation entitlement, seniority, merit increment
progression, or other compensation matters affected by service from the first day of
the approved leave of absence.
d) If the employee is absent due to sickness or accident for a period of his seniority, or
twenty-four months, whichever is less. This provision shall be administered in
accordance with the provisions of the Human Rights Code of Ontario.
These unpaid leaves are in addition to the leaves as outlined in the Employment Standards
Act.

Electronic Monitoring of Employees

1. Purpose:
To establish a policy for the Township of Oro-Medonte that outlines areas in the workplace where
electronic monitoring occurs and the purpose.
2. Scope:
This policy applies to all employees, in all classifications of employment and at all Township of
Oro-Medonte locations. This policy also applies to all employees working remotely and utilizing
Township owned devices or personal devices being used for work related purposes.
3. Policy:
It is the policy of the Township of Oro-Medonte to electronically monitor employees in regards
to their overall productivity and to prevent instances of misconduct or violations of the law.
Information that is gathered via electronic monitoring may be used to assess potential
investigations of alleged violations of law, regulations or Township policies and procedures, as
well as other instances of misconduct or unlawful use, or as outlined in this policy under Section
4 Use of Electronic Monitoring.
4. USE OF ELECTRONIC MONTIORING
a) EMAILS, INTERNET, WI-FI, COMPANY EQUIPMENT AND SOFTWARE
The Township has the ability to monitor employee's emails that are addressed with the
Township's email address, this includes Township email that is being used on personal
electronic devices for work related purposes.
Employee's accessing the Internet through Township provided laptops/computers or
using Township Wi-Fi connections, with any device, can be monitored.

All Township equipment and software that is provided to employees can be monitored
at any time at the discretion of the Township.
PURPOSE
To ensure the appropriate use of Township computers equipment and related software.
b) OFFICE STATUS WINDOWS CLIENT SOFTWARE APPLICATION
In/out software system that can track an employee's current work status and
attendance and it visible to any employee that logs into the application. The employee
logs into the software and can set their status as working in the office, working
remotely, out of office, on vacation etc. The status remains unchanged until the
employee updates it.
PURPOSE
To know the working location of an employee in order to better assist
customer/employee services throughout the Township.
c) TOWNSHIP CELLULAR PHONES
Monitored for calls, emails and text messages received and sent. Reviewed, as
required, for event timelines and compliance with Township policies and procedures.
`Smart Switch'application continuously monitors the location of the phone via GPS. An
electronic log is created for IT that can show the location of the device. History is
maintained for one (1) month.
Invoices can be monitored for usage and unusual charges.
PURPOSE
To ensure the appropriate use of Township issued cellular phones and to ensure that
employees meet requirements when they are on-call/standby.
`Smart Switch' is for traceability purposes in the event that the cellular phone is lost or
stolen.
To review cellular phones to ensure that no fraudulent charges are posted.
d) GLOBAL POSITIONING SYSTEM (GPS) AND DASH CAMERAS IN TOWNSHIP
FLEET VEHICLES
Various fleet vehicles have GPS and/or dash cameras installed. GPS can show
locations visited and speed. Dash cameras provide a frontal view of the fleet vehicle
and record events while the employee is driving. Devices are active when employee is
driving the fleet vehicle.
PURPOSE
The GPS-based fleet management system is used to verify accountability for the
employees using corporate vehicles/equipment. The technology will also be used to
track location of a vehicle in the instance of theft or stolen property. Information and

data collected by the GPS technology will be used in the Township's efforts to deliver
high quality services and facilities at best value for our community. This includes
improving efficiency in regards to company vehicle/equipment usage.
The data retrieved from the GPS and/or dash cameras will be utilized to support
information relating to investigations and other occurrences, as well as the monitoring
of employees' efficiency and productivity. Information retrieved from the server may be
used to cross reference data from daily trip inspection sheets.
e) TWO-WAY RADIOS
Monitored audibly, these devices are used by employees through Township operations
for work-related communications and for emergency situations.
PURPOSE
To ensure the safety of employees and ensure communication of any issues with
managers, supervisors or other staff, as required.
f) SECURITY ALARM CODES
Employees can be monitored when they use their security code to access any of the
Township buildings that are equipped with a security alarm.
PURPOSE
To ensure employees are using the facilities appropriately and only when required.
g) VIRTUAL MEETINGS
Employee's conducting meetings or interviews via an electronic platform, which can
included, but is not limited to; ZOOM, WebEx, Go-To-Meeting etc., can be recorded or
monitored.
PURPOSE
To assess engagement and attendance.
h) COUNCIL MEETINGS
Meetings held by Council are streamed live or recorded and made available via the
Township's YouTube channel.
PURPOSE
To assess engagement, attendance and provide a means for members of the
community as well as employees to view council meetings.
i) FIRE RADIO COMMUNICATIONS/911 and DISPATCH
All communications are recorded at the Orillia dispatch station and Fire Headquarters
(Station #3) and all fire vehicles are equipped with radio communication devices. This
provides the ability to monitor the actions of the firefighters and the communicators.

PURPOSE
To communicate emergency and non-emergency situations and to maintain a
record/log of events to be used in the future, as required.
j) `1AM RESPONDING'SOFTWARE APPLICATION — FIRE DEPARTMENT
Used by firefighters to track their work status, i.e., if they are on-call/available, not
available, responding to a fire call etc. Firefighters have to manually log into the
application to update their status. When a Firefighter changes their status to
`responding' it enables the GPS and location is visible via the Goggle Map feature
inside the application. Work status and location are stored in the system's log history
for 30 minutes. Reports can be generated.
PURPOSE
To keep the Fire Department informed on the availability of firefighters and to ensure
emergency situations are being responded to. Reports can be used for future events,
as required.

budgets for each department. Council endorsed the 2022 Budget Recalibration at
the Council meeting on March 23, 2022.
This financial analysis is presented in accordance with the Council endorsed
framework on April 25, 2018, to support Council's governance responsibilities and
transparency.
One of the recommendations in that report included a Financial Executive Summary
Report that will include:
o Environmental scan
o Status of key projects
o Financial variance analysis — actual vs budget
o Summary of any budget appropriation changes
o Staff recommendations to re-balance initiatives to avoid financial deficits or
use of contingency reserves

Analysis:
As the Township enters its third year of operating under the impacts of
unpredictable conditions of the global pandemic, financial challenges still exist.
The 2022 operating and capital budgets total approximately $50 mil. Overall, from
an operating perspective, the Township is currently managing within budget.
Environmental Scan
• The Township was under a declared State of Emergency from March 23, 2020, until
April 27, 2022:
o Township Administration Centre reopened to the public.
o Aligning with the Province's announcement regarding the removal of the mask
mandate effective March 21, 2022, mask/face coverings are no longer required
in Township facilities but continue to be encouraged.
o Many Administration Building Staff have begun working within approved
Remote Work Agreements under the Township's approved Remote Work
Policy.
o All Township services have resumed through either in-person delivery
or online service delivery.
o Effective June 22, 2022, The Township Council Chambers re-open
to the public following a hybrid format
• The development and implementation of new delivery methods, procedures and
training have been both time-consuming and rewarding from a continuous
improvement/efficiency perspective
• Continued focus on doing business electronically, including meetings,
communications both internal and external, rural internet connectivity, and other
applications
• Online permit/application submissions and payments and electronic meetings,
anticipate additional methods/procedures and implementation required as a result of
Planning and Development Process Review recommendations
• Inflationary pressure has emerged as a key risk for both operating and capital
budgets, and the Bank of Canada has identified that inflation is expected to be
persistent. Increased demand for goods and restricted supply continue to impact
service delivery costs
• Contractor labour rates are up as a result of the pandemic and the carpenter strike
from this past summer, which may have a significant impact on large construction
and facility projects
• The disruption in supply chain and general workforce challenges across employment
sectors have also created additional challenges in the procurement of professional

• Employment labour market trends (recruitment & retention) continue to be
challenging due to increased retirements with this pandemic spillover effect.
Status of Key Projects
• Staff Report CS2022-18 Corporate Status Project Update — May, June 2022 was
presented to Council at the Special meeting on August 22, 2022.
• See Appendix A of this report for a list of the Townships capital projects with a status
update as of June 30, 2022.
o From a capital perspective, as outlined in Appendix A, the Township has spent
approximately $2.5mil. The expenditures incurred do not necessarily reflect
the physical effort and activity by staff to advance the various items as
construction contracts and other progress payments occur later than the actual
work completed.
Oaeratina Variance Summary
Overall, the Township is currently managing within budget. The first six months of the
year came with inflationary challenges and contractor and material supply issues which
has an impact on the staff's ability to project a full year-end operating position.
Table 1 illustrates the operating surplus/deficit. The Q1/Q2 total surplus is $525K, and
the driving factors include but are not limited to;
• Salaries & Benefits — The primary reasons for the savings in this reporting period
related to vacancies and wage gapping. The Township continues to experience
labour shortages and staff gapping around the various recruiting positions. `Gapping'
refers to the funding difference that arises when a full time position has only been
filled for a portion of the year (e.g., due to recruitment or hiring timelines).
• Revenue reductions were expected, given the impacts of the recreational facility
closures and Provincial court closures experienced during the first quarter of 2022.
• Conference and training activities are planned in the second half of 2022 (e.g. AMO),
which will see some of the underspending in the first half of the year utilized.
• At the time of renewal, the budgeted amount for insurance in 2022 was sufficient to
account for the increase. The costs in this analysis relate to the policy that expired on
June 30, 2022. The new higher costs, including a 13% increase, will be reflected in
the second half of the year.

• Utility costs are lower than expected, with savings realized in gas (heat) and hydro
due to lower usage of some Township facilities.
• Building and Planning Department surplus revenues for building permits, severances,
site plan amendments, and zoning continue to outperform budget estimates.
• Other areas of note include the continued global supply chain impact and the
inflationary impact of goods and services. Also, our fuel budget is 30% greater than
the mid-year target.

Capital Variance Summary
As outlined in Appendix A, the Township has over 65 projects in 2022, not including the
various road construction projects underway.
Some capital projects do not normally follow the Township's fiscal year cycle for
completion, and it is generally anticipated that activities and expenditures will span
fiscal periods resulting in unexpended funds being carried forward to subsequent years.
The Township's Capital program contains assets/projects that require various activities
such as research, consultation, design, planning and award of contracts to occur prior
to acquiring, developing and/or constructing. These steps have been significantly
impacted by supply interruptions and rising costs, with some delays in tenders/RFPs
due to labour shortages.
During the first six months of this year, Staff have ensured that project planning and
availability of resources are managed for successful completion in a timely manner.
Many projects have begun in Q3/Q4 of 2022 and will be completed in 2023. As a result
of a timing difference between when staff originally planned/budgeted on incurring
expenses versus when they have actually been incurred has resulted in underspending
for Q1/Q2 2022. Any amounts not spent in the 2022 budget year will be transferred to
reserves to be available to fund these carryover projects in 2023.

Conclusion:
The Township continues to experience the effects of the pandemic during the first half of
the 2022 year. Township Staff has been working diligently to continue delivering key
services to residents, review priorities, adapt to the challenges, and focus on key
initiatives that will drive the Township forward.
Mainly resulting from a lack of external resources and timing of the implementation of
some projects, overall capital expenditures will be lower than the 2022 Capital Budget
and will carry over into the 2023 budget year.
Financial updates from Q3 will provide more details to forecast year-end predictions and
estimate capital underspending for the 2022 budget year.

a) Lake Simcoe Conservation Foundation Executive Director, Cheryl Taylor, was very
pleased to provide a Foundation update, advising of a successful Federal grant of
$4.17M for the new Nature Centre at Scanlon Creek Conservation Area. She also noted
that the Foundation's Annual dinner was once again a very successful event; and lastly,
she reminded Board members that the 4t" Annual Golf Tournament is being held on
August 22nd at the Nest at Friday Harbour. More information on these events can be

b) Chair Emmerson was sad to advise Board members of the recent passing of Fran
Wheeler, wife of the late Danny Wheeler. Danny Wheeler, who passed away a few years
ago, was a long-standing member of Georgina Council, York Regional Council, as well as
a Conservation Authority Board member.
VI. Presentations
a) Second Quarter 2022 Financial Report and Year-End Forecast
General Manager, Corporate and Financial Services/CFO, Mark Critch, provided a presentation
on the Conservation Authority's Second Quarter 2022 Financial Report and Year-End Forecast,
noting a very minor operational deficit at Q2 of$(43K), with the main driver being a deficit in
Greenspace Services related to property taxes and legal/appraisals on land transfers,
acquisitions, and disposals, which is offset by a surplus in Planning & Development. He went on
to note that good progress is being made on the 2022 capital investments projects.
Looking at year-end forecast assumptions, he noted that staff will continue to with the hybrid
work business policy to the end of 2022; budgeted reserve draws will be made to finish Annual
Priorities work as required and where budgeted; budgeted reserve draws and transfers for
capital purchases and projects will take place as expected; with a projected year-end
operational deficit position of ($70)K.
GM Critch also noted that programs and projects are anticipated to be in line with budget or
funding guidelines, and reserve activity is expected to be in line with budget.
CAO Baldwin highlighted that the greenspace deficit is attributed to the taxes, etc. surrounding
the newly acquired Georgina lands, due to the change in tax rate from a developable land tax

rate to a non-developable land tax rate based on the Minister's Zoning Order designating this

A BY-LAW OF THE CORPORATION OF THE TOWNSHIP OF ORO-MEDONTE TO
AUTHORIZE THE BORROWING UPON AMORTIZING DEBENTURES IN THE PRINCIPAL
AMOUNT OF $1,600,000.00 TOWARDS THE COST OF BRIDGE 4
WHEREAS Subsection 401 (1) of the Municipal Act, 2001, as amended (the
"Act") provides that a municipality may incur a debt for municipal purposes, whether by
borrowing money or in any other way, and may issue debentures and prescribed financial
instruments and enter prescribed financial agreements for or in relation to the debt;
WHEREAS Subsection 408 (2.1)of the Act provides that a municipality may issue
a debenture or other financial instrument for long-term borrowing only to provide financing for
a capital work;
WHEREAS the Council of The Corporation of The Township of Oro-Medonte (the
"Municipality") has passed the By-law(s) enumerated in column (1) of Schedule "A" attached
hereto and forming part of this By-law to authorize the capital work(s) described in column (2)
of Schedule "A" (the "Capital Work(s)"), to authorize the long-term borrowing from Ontario
Infrastructure and Lands Corporation ("OILC") in respect of the Capital Work(s) and to confirm,
ratify and approve the execution by the Treasurer of the application to OILC for financing the
Capital Work (the "Application") and the submission by such authorized official of the
Application; and to execute and deliver to OILC the rate offer letter agreement in respect of
such long-term borrowing for the Capital Work(s),
WHEREAS before authorizingy the Capital Work(s) and before authorizing any
additional cost amount and any additional debenture authority in respect thereof (if any) the
Council of the Municipality had its Treasurer calculate an updated limit in respect of its most
recent annual debt and financial obligation limit received from the Ministry of Municipal Affairs
and Housing in accordance with the applicable regulation and, prior to the Council of the
Municipality authorizing the Capital Work(s), each such additional cost amount and each such
additional debenture authority (if any) the Treasurer determined that the estimated annual
amount payable in respect of the Capital Work(s), each such additional cost amount and each
such additional debenture authority (if any) would not cause the Municipality to exceed the
updated limit and that the approval of the Capital Work(s), each such additional cost amount
and each such additional debenture authority (if any) by the Local Planning Appeal Tribunal
pursuant to such regulation was not required;
WHEREAS the Municipality has submitted the Application to OILC and the
Application has been approved;

AND WHEREAS to provide long-term financing for the Capital Work(s) it is now
deemed to be expedient to borrow money by the issue of amortizing debentures in the
aggregate principal amount of$1,600,000.00 dated October 17, 2022 and maturing on October
17, 2027, and payable in semi-annual instalments of combined principal and interest on the
seventeenth day of April and on the seventeenth day of October in each of the years 2023 to
2027, both inclusive on the terms hereinafter set forth;
NOW THEREFORE THE COUNCIL OF THE CORPORATION OF THE
TOWNSHIP OF ORO-MEDONTE ENACTS AS FOLLOWS:
1 . THAT for the Capital Work(s), the borrowing upon the credit of the Municipality at
large of the aggregate principal amount of $1,600,000.00 and the issue of amortizing
debentures therefor to be repaid in semi-annual instalments of combined principal
and interest as hereinafter set forth, are hereby authorized.
2. THAT the Mayor and the Treasurer of the Municipality are hereby authorized to cause
any number of amortizing debentures to be issued for such amounts of money as
may be required for the Capital Work(s) in definitive form, not exceeding in total the
said aggregate principal amount of $1,600,000.00 (the "Debentures"). The
Debentures shall bear the Municipality's municipal seal and the signatures of the
Mayor and the Treasurer of the Municipality, all in accordance with the provisions of
the Act. The municipal seal of the Municipality and the signatures referred to in this
section may be printed, lithographed, engraved or otherwise mechanically
reproduced. The Debentures are sufficiently signed if they bear the required
signatures and each person signing has the authority to do so on the date he or she
signs.
3. THAT the Debentures shall be in fully registered form as one or more certificates in
the aggregate principal amount of $1,600,000.00, in the name of OILC, or as OILC
may otherwise direct, substantially in the form attached as Schedule "B" hereto and
forming part of this By-law with provision for payment of principal and interest (other
than in respect of the final payment of principal and outstanding interest on maturity
upon presentation and surrender) by pre-authorized debit in respect of such principal
and interest to the credit of such registered holder on such terms as to which the
registered holder and the Municipality may agree.
4. THAT in accordance with the provisions of section 25 of the Ontario Infrastructure
and Lands Corporation Act, 2011, as amended from time to time hereafter, the
Municipality is hereby authorized to agree in writing with OILC that the Minister of
Finance is entitled, without notice to the Municipality, to deduct from money
appropriated by the Legislative Assembly of Ontario for payment to the Municipality,
amounts not exceeding any amounts that the Municipality fails to pay OILC on
account of any unpaid indebtedness of the Municipality to OILC under the Debentures
and to pay such amounts to OILC from the Consolidated Revenue Fund.
5. THAT the Debentures shall all be dated October 17, 2022, and as to both principal
and interest shall be expressed and be payable in lawful money of Canada. The
Debentures shall bear interest at the rate of 4.24% per annum and mature during a

period of 5 year(s) from the date thereof payable semi-annually in arrears as
described in this section. The Debentures shall be paid in full by October 17, 2027
and be payable in equal semi-annual instalments of combined principal and interest
on the seventeenth day of April and on the seventeenth of October in each of the
years 2023 to 2027, both inclusive, save and except for the last instalment which may
vary slightly from the preceding equal instalments, as set forth in Schedule "C"
attached hereto and forming part of this By-law ("Schedule "C").
6. THAT payments in respect of principal of and interest on the Debentures shall be
made only on a day, other than Saturday or Sunday, on which banking institutions in
Toronto, Ontario, Canada and the Municipality are not authorized or obligated by law
or executive order to be closed (a "Business Day") and if any date for payment is not
a Business Day, payment shall be made on the next following Toronto Business Day.
7. THAT interest shall be payable to the date of maturity of the Debentures and on
default shall be payable on any overdue amounts both before and after default and
judgment at a rate per annum equal to the greater of the rate specified on the
Schedule as attached to and forming part of the Debentures for such amounts plus
200 basis points or Prime Rate (as defined below) plus 200 basis points, calculated
on a daily basis from the date such amounts become overdue for so long as such
amounts remain overdue and the Municipality shall pay to the registered holders any
and all costs incurred by the registered holders as a result of the overdue payment.
Any amounts payable by the Municipality as interest on overdue principal or interest
and all costs incurred by the registered holders as a result of the overdue payment in
respect of the Debentures shall be paid out of current revenue. Whenever it is
necessary to compute any amount of interest in respect of the Debentures for a period
of less than one full year, other than with respect to regular semi-annual interest
payments, such interest shall be calculated on the basis of the actual number of days
in the period and a year of 365 days or 366 days as appropriate.
"Prime Rate" means, on any day, the annual rate of interest which is the arithmetic
mean of the prime rates announced from time to time by the following five major
Canadian Schedule I banks, as of the issue date of the Debentures: Royal Bank of
Canada; Canadian Imperial Bank of Commerce; The Bank of Nova Scotia; Bank of
Montreal; and The Toronto-Dominion Bank (the "Reference Banks") as their
reference rates in effect on such day for Canadian dollar commercial loans made in
Canada. If fewer than five of the Reference Banks quote a prime rate on such days,
the "Prime Rate" shall be the arithmetic mean of the rates quoted by those Reference
Banks.
8. THAT in each year in which a payment of equal semi-annual instalments of combined
principal and interest becomes due in respect of the Capital Work(s) including the last
`non-equal' instalment, there shall be raised as part of the Municipality's general levy
the amounts of principal and interest payable by the Municipality in each year as set
out in Schedule "C" to the extent that the amounts have not been provided for by any
other available source including other taxes or fees or charges imposed on persons
or property by a by-law of any municipality.

9. THAT the Debentures may contain any provision for their registration thereof
authorized by any statute relating to municipal debentures in force at the time of the
issue thereof.
10. THAT the Municipality shall maintain a registry in respect of the Debentures in which
shall be recorded the names and the addresses of the registered holders and
particulars of the Debentures held by them respectively and in which particulars of
the cancellations, exchanges, substitutions and transfers of Debentures, may be
recorded and the Municipality is authorized to use electronic, magnetic or other media
for records of or related to the Debentures or for copies of them.
11 . THAT the Municipality shall not be bound to see to the execution of any trust affecting
the ownership of any Debenture or be affected by notice of any equity that may be
subsisting in respect thereof. The Municipality shall deem and treat registered
holders of the Debentures as the absolute owners thereof for all purposes whatsoever
notwithstanding any notice to the contrary and all payments to or to the order of
registered holders shall be valid and effectual to discharge the liability of the
Municipality on the Debentures to the extent of the amount or amounts so paid. When
a Debenture is registered in more than one name, the principal of and interest from
time to time payable on such Debenture shall be paid to or to the order of all the joint
registered holders thereof, failing written instructions to the contrary from all such joint
registered holders, and such payment shall constitute a valid discharge to the
Municipality. In the case of the death of one or more joint registered holders, despite
the foregoing provisions of this section, the principal of and interest on any
Debentures registered in their names may be paid to the survivor or survivors of such
holders and such payment shall constitute a valid discharge to the Municipality.
12. THAT the Debentures will be transferable or exchangeable at the office of the
Treasurer of the Municipality upon presentation for such purpose accompanied by an
instrument of transfer or exchange in a form approved by the Municipality and which
form is in accordance with the prevailing Canadian transfer legislation and practices,
executed by the registered holder thereof or such holder's duly authorized attorney
or legal personal representative, whereupon and upon registration of such transfer or
exchange and cancellation of the Debenture or Debentures presented, the Mayor and
the Treasurer shall issue and deliver a new Debenture or Debentures of an equal
aggregate principal amount in any authorized denomination or denominations as
directed by the transferor, in the case of a transfer or as directed by the registered
holder in the case of an exchange.
13. THAT the Mayor and the Treasurer shall issue and deliver new Debentures in
exchange or substitution for Debentures outstanding on the registry with the same
maturity and of like form which have become mutilated, defaced, lost, subject to a
mysterious or unexplainable disappearance, stolen or destroyed, provided that the
applicant therefor shall have: (a) paid such costs as may have been incurred in
connection therewith; (b) (in the case when a Debenture is mutilated, defaced, lost,
mysteriously or unexplainably missing, stolen or destroyed)furnished the Municipality
with such evidence (including evidence as to the certificate number of the Debenture
in question) and an indemnity in respect thereof satisfactory to the Municipality in its

discretion; and (c) surrendered to the Municipality any mutilated or defaced
Debentures in respect of which new Debentures are to be issued in substitution.
14. THAT the Debentures issued upon any registration of transfer or exchange or in
substitution for any Debentures or part thereof shall carry all the rights to interest if
any, accrued and unpaid which were carried by such Debentures or part thereof and
shall be so dated and shall bear the same maturity date and, subject to the provisions
of this By-law, shall be subject to the same terms and conditions as the Debentures
in respect of which the transfer, exchange or substitution is effected.
15. THAT the cost of all transfers and exchanges, including the printing of authorized
denominations of the new Debentures, shall be borne by the Municipality. When any
of the Debentures are surrendered for transfer or exchange the Treasurer of the
Municipality shall: (a) in the case of an exchange, cancel and destroy the Debentures
surrendered for exchange; (b) in the case of an exchange, certify the cancellation and
destruction in the registry; (c) enter in the registry particulars of the new Debenture or
Debentures issued in exchange; and (d) in the case of a transfer, enter in the registry
particulars of the registered holder as directed by the transferor.
16. THAT reasonable fees in respect of the Debentures, in the normal course of business,
other than reasonable fees for the substitution of a new Debenture or new Debentures
for any of the Debentures that are mutilated, defaced, lost, mysteriously or
unexplainably missing, stolen or destroyed and for the replacement of any of the
principal and interest cheques (if any) that are mutilated, defaced, lost, mysteriously
or unexplainably missing, stolen or destroyed may be imposed by the Municipality.
When new Debentures are issued in substitution in these circumstances the
Municipality shall: (a) treat as cancelled and destroyed the Debentures in respect of
which new Debentures will be issued in substitution; (b) certify the deemed
cancellation and destruction in the registry; (c) enter in the registry particulars of the
new Debentures issued in substitution; and (d) make a notation of any indemnities
provided.
17. THAT except as otherwise expressly provided herein, any notice required to be given
to a registered holder of one or more of the Debentures will be sufficiently given if a
copy of such notice is mailed or otherwise delivered to the registered address of such
registered holder.
18. THAT the Mayor and the Treasurer are hereby authorized to cause the Debentures
to be issued, one or more of the Clerk and Treasurer are hereby authorized to
generally do all things and to execute all other documents and other papers in the
name of the Municipality in order to carry out the issue of the Debentures and the
Treasurer is authorized to affix the Municipality's municipal seal to any of such
documents and papers.
19. THAT the money received by the Municipality from the sale of the Debentures to
OILC, including any premium, and any earnings derived from the investment of that
money, after providing for the expenses related to their issue, if any, shall be

apportioned and applied to the Capital Work(s) and to no other purpose except as
permitted by the Act.
20. THAT subject to the Municipality's statement of investment policies and goals, the
applicable legislation and the terms and conditions of the Debentures, the Municipality
may, if not in default under the Debentures, at any time purchase any of the
Debentures in the open market or by tender or by private contract at any price and on
such terms and conditions (including, without limitation, the manner by which any
tender offer may be communicated or accepted and the persons to whom it may be
addressed) as the Municipality may in its discretion determine.
21 . AND THAT this By-law takes effect on the day of passing.

LEGAL OPINION
We have examined the By-law of the Municipality authorizing the issue of amortizing
debentures in the aggregate principal amount of $1,600,000.00 dated October 17,
2022 and maturing on October 17, 2027 payable in equal semi-annual instalments
of combined principal and interest on the seventeenth day of April and on the
seventeenth day of October in each of the years 2023 to 2027, both inclusive, save
and except for the last instalment which may vary slightly from the preceding equal
instalments as set out in Schedule "C" to the By-law.
In our opinion, the By-law has been properly passed and is within the legal powers
of the Municipality. The debenture issued under the By-law in the within form (the
"Debenture") is the direct, general, unsecured and unsubordinated obligation of the
Municipality. The Debenture is enforceable against the Municipality subject to the
special jurisdiction and powers of the Local Planning Appeal Tribunal over defaulting
municipalities under the Municipal Affairs Act. This opinion is subject to and
incorporates all the assumptions, qualifications and limitations set out in our opinion

CONDITIONS OF THE DEBENTURE
Form, Denomination, and Ranking of the Debenture
1 . The debentures issued pursuant to the By-law (collectively the "Debentures" and
individually a "Debenture")are issuable as fully registered Debentures without coupons.
2. The Debentures are direct, general, unsecured and unsubordinated obligations of the
Municipality. The Debentures rank concurrently and equally in respect of payment of
principal and interest with all other debentures of the Municipality except for the
availability of money in a sinking or retirement fund for a particular issue of debentures.
3. This Debenture is one fully registered Debenture registered in the name of OILC and
held by OILC.
Registration
4. The Municipality shall maintain at its designated office a registry in respect of the
Debentures in which shall be recorded the names and the addresses of the registered
holders and particulars of the Debentures held by them respectively and in which
particulars of cancellations, exchanges, substitutions and transfers of Debentures, may
be recorded and the Municipality is authorized to use electronic, magnetic or other media
for records of or related to the Debentures or for copies of them.
Title
5. The Municipality shall not be bound to see to the execution of any trust affecting the
ownership of any Debenture or be affected by notice of any equity that may be subsisting
in respect thereof. The Municipality shall deem and treat registered holders of
Debentures, including this Debenture, as the absolute owners thereof for all purposes
whatsoever notwithstanding any notice to the contrary and all payments to or to the
order of registered holders shall be valid and effectual to discharge the liability of the
Municipality on the Debentures to the extent of the amount or amounts so paid. Where
a Debenture is registered in more than one name, the principal of and interest from time
to time payable on such Debenture shall be paid to or to the order of all the joint
registered holders thereof, failing written instructions to the contrary from all such joint
registered holders, and such payment shall constitute a valid discharge to the
Municipality. In the case of the death of one or more joint registered holders, despite
the foregoing provisions of this section, the principal of and interest on any Debentures
registered in their names may be paid to the survivor or survivors of such holders and
such payment shall constitute a valid discharge to the Municipality.

Payments of Principal and Interest
6. The record date for purposes of payment of principal of and interest on the Debentures
is as of 5.00 p.m. on the sixteenth calendar day preceding any payment date including
the maturity date. Principal of and interest on the Debentures are payable by the
Municipality to the persons registered as holders in the registry on the relevant record
date. The Municipality shall not be required to register any transfer, exchange or
substitution of Debentures during the period from any record date to the corresponding
payment date.
7. The Municipality shall make all payments in respect of equal semi-annual instalments
of combined principal and interest including the last `non-equal' instalment on the
Debentures on the payment dates commencing on April 17, 2023 and ending on
October 17, 2027 as set out in Schedule "C" to the By-law, by pre-authorized debit in
respect of such interest and principal to the credit of the registered holder on such terms
as the Municipality and the registered holder may agree.
8. The Municipality shall pay to the registered holder interest on any overdue amount of
principal or interest in respect of any Debenture, both before and after default and
judgment, at a rate per annum equal to the greater of the rate specified on the
Amortization Schedule as attached to and forming part of the Debenture for such amount
plus 200 basis points or Prime Rate (as defined below) plus 200 basis points, calculated
on a daily basis from the date such amount becomes overdue for so long as such
amount remains overdue and the Municipality shall pay to the registered holder any and
all costs incurred by the registered holder as a result of the overdue payment.
9. Whenever it is necessary to compute any amount of interest in respect of the
Debentures for a period of less than one full year, other than with respect to regular
semi-annual interest payments, such interest shall be calculated on the basis of the
actual number of days in the period and a year of 365 days or 366 days as appropriate.
10. Payments in respect of principal of and interest on the Debentures shall be made only
on a day, other than Saturday or Sunday, on which banking institutions in Toronto,
Ontario, Canada and the Municipality are not authorized or obligated by law or executive
order to be closed (a "Business Day"), and if any date for payment is not a Business
Day, payment shall be made on the next following Business Day as noted on the
Amortization Schedule.
11. The Debentures are transferable or exchangeable at the office of the Treasurer of the
Municipality upon presentation for such purpose accompanied by an instrument of
transfer or exchange in a form approved by the Municipality and which form is in
accordance with the prevailing Canadian transfer legislation and practices, executed by
the registered holder thereof or such holder's duly authorized attorney or legal personal
representative, whereupon and upon registration of such transfer or exchange and
cancellation of the Debenture or Debentures presented, a new Debenture or Debentures
of an equal aggregate principal amount in any authorized denomination or
denominations will be delivered as directed by the transferor, in the case of a transfer or
as directed by the registered holder in the case of an exchange.

12. The Municipality shall issue and deliver Debentures in exchange for or in substitution
for Debentures outstanding on the registry with the same maturity and of like form in the
event of a mutilation, defacement, loss, mysterious or unexplainable disappearance,
theft or destruction, provided that the applicant therefor shall have: (a) paid such costs
as may have been incurred in connection therewith; (b) (in the case of a mutilated,
defaced, lost, mysteriously or unexplainably missing, stolen or destroyed Debenture)
furnished the Municipality with such evidence (including evidence as to the certificate
number of the Debenture in question) and an indemnity in respect thereof satisfactory
to the Municipality in its discretion; and (c) surrendered to the Municipality any mutilated
or defaced Debentures in respect of which new Debentures are to be issued in
substitution.
13. The Debentures issued upon any registration of transfer or exchange or in substitution
for any Debentures or part thereof shall carry all the rights to interest if any, accrued and
unpaid which were carried by such Debentures or part thereof and shall be so dated
and shall bear the same maturity date and, subject to the provisions of the By-law, shall
be subject to the same terms and conditions as the Debentures in respect of which the
transfer, exchange or substitution is effected.
14. The cost of all transfers and exchanges, including the printing of authorized
denominations of the new Debentures, shall be borne by the Municipality. When any of
the Debentures are surrendered for transfer or exchange the Treasurer of the
Municipality shall: (a) in the case of an exchange, cancel and destroy the Debentures
surrendered for exchange; (b) in the case of an exchange, certify the cancellation and
destruction in the registry; (c) enter in the registry particulars of the new Debenture or
Debentures issued in exchange; and (d) in the case of a transfer, enter in the registry
particulars of the registered holder as directed by the transferor.
15. Reasonable fees for the substitution of a new Debenture or new Debentures for any of
the Debentures that are mutilated, defaced, lost, mysteriously or unexplainably missing,
stolen or destroyed and for the replacement of mutilated, defaced, lost, mysteriously or
unexplainably missing, stolen or destroyed principal and interest cheques (if any) may
be imposed by the Municipality. When new Debentures are issued in substitution in
these circumstances the Municipality shall: (a) treat as cancelled and destroyed the
Debentures in respect of which new Debentures will be issued in substitution; (b) certify
the deemed cancellation and destruction in the registry; (c) enter in the registry
particulars of the new Debentures issued in substitution; and (d) make a notation of any
indemnities provided.
16. If OILC elects to terminate its obligations under the rate offer agreement entered into
between the Municipality and OILC, pursuant to which the Debentures are issued, or if
the Municipality fails to meet and pay any of its debts or liabilities when due, or uses all
or any portion of the proceeds of any Debenture for any purpose other than for a Capital
Work(s) as authorized in the By-Law, the Municipality shall pay to OILC the Make-Whole
Amount on account of the losses that it will incur as a result of the early repayment or
early termination.

Notices
17. Except as otherwise expressly provided herein, any notice required to be given to a
registered holder of one or more of the Debentures will be sufficiently given if a copy of
such notice is mailed or otherwise delivered to the registered address of such registered
holder. If the Municipality or any registered holder is required to give any notice in
connection with the Debentures on or before any day and that day is not a Business
Day (as defined in section 10 of these Conditions) then such notice may be given on the
next following Business Day.
Time
18. Unless otherwise expressly provided herein, any reference herein to a time shall be
considered to be a reference to Toronto time.
Governing Law
19. The Debentures are governed by and shall be construed in accordance with the laws of
the Province of Ontario and the federal laws of Canada applicable in Ontario.
Definitions:
(a) "Prime Rate" means, on any day, the annual rate of interest which is the arithmetic
mean of the prime rates announced from time to time by the following five major
Canadian Schedule I banks, as of the issue date of this Debenture: Royal Bank of
Canada; Canadian Imperial Bank of Commerce; The Bank of Nova Scotia; Bank of
Montreal; and The Toronto-Dominion Bank (the "Reference Banks") as their reference
rates in effect on such day for Canadian dollar commercial loans made in Canada. If
fewer than five of the Reference Banks quote a prime rate on such days, the "Prime
Rate" shall be the arithmetic mean of the rates quoted by those Reference Banks.
(b) "Make-Whole Amount" means the amount determined by OILC as of the date of
prepayment of the Debenture, by which (i) the present value of the remaining future
scheduled payments of principal and interest under the Debenture to be repaid from the
prepayment date until maturity of the Debenture discounted at the Ontario Yield exceeds
(ii) the principal amount under the Debenture being repaid provided that the Make-
Whole Amount shall never be less than zero.
(c) "Ontario Yield" means the yield to maturity on the date of prepayment of the Debenture,
assuming semi-annual compounding, which a non-prepayable Debenture made by the
Province of Ontario would have if advanced on the date of prepayment of the Debenture,

The Municipality, pursuant to section 25 of the Ontario Infrastructure and Lands Corporation
Act, 2011 (the "OILC Act, 2011") hereby irrevocably agrees that the Minister of Finance is
entitled, without notice to the Municipality, to deduct from money appropriated by the Legislative
Assembly of Ontario for payment to the Municipality, amounts not exceeding any amounts that
the Municipality fails to pay OILC on account of any unpaid indebtedness under this debenture,
and to pay such amounts to OILC from the Consolidated Revenue Fund.

Day (as defined in section 10 of these Conditions) then such notice may be given on the
next following Business Day.
Time
18. Unless otherwise expressly provided herein, any reference herein to a time shall be
considered to be a reference to Toronto time.
Governing Law
19. The Debentures are governed by and shall be construed in accordance with the laws of
the Province of Ontario and the federal laws of Canada applicable in Ontario.
Definitions:
(a) "Prime Rate" means, on any day, the annual rate of interest which is the arithmetic
mean of the prime rates announced from time to time by the following five major
Canadian Schedule I banks, as of the issue date of this Debenture: Royal Bank of
Canada; Canadian Imperial Bank of Commerce; The Bank of Nova Scotia; Bank of
Montreal; and The Toronto-Dominion Bank (the "Reference Banks") as their reference
rates in effect on such day for Canadian dollar commercial loans made in Canada. If
fewer than five of the Reference Banks quote a prime rate on such days, the "Prime
Rate" shall be the arithmetic mean of the rates quoted by those Reference Banks.
(b) "Make-Whole Amount" means the amount determined by OILC as of the date of
prepayment of the Debenture, by which (i) the present value of the remaining future
scheduled payments of principal and interest under the Debenture to be repaid from the
prepayment date until maturity of the Debenture discounted at the Ontario Yield exceeds
(ii) the principal amount under the Debenture being repaid provided that the Make-
Whole Amount shall never be less than zero.
(c) "Ontario Yield" means the yield to maturity on the date of prepayment of the Debenture,
assuming semi-annual compounding, which a non-prepayable Debenture made by the
Province of Ontario would have if advanced on the date of prepayment of the Debenture,

assuming the same principal amount as the Debenture and with a maturity date which
is the same as the remaining term to maturity of the Debenture to be repaid minus 100

(the "Authorizing By-law(s)") have been enacted and passed by the Council of the
Municipality in full compliance with the Act at meeting(s) at which a quorum was present.
Forthwith after the passage of the Authorizing By-law(s) the same were signed by the Mayor
and by the Clerk and sealed with the municipal seal of the Municipality.
3. With respect to the undertaking of the capital work(s) described in the Debenture
By-law (the "Capital Work(s)"), before the Council of the Municipality exercised any of its
powers in respect of the Capital Work(s), and before authorizing any additional cost amount
and any additional debenture authority in respect thereof(if any), the Council of the Municipality
had its Treasurer complete the required calculation set out in the relevant debt and financial
obligation limits regulation (the "Regulation"). Accordingly, based on the Treasurer's
calculation and determination under the Regulation, the Council of the Municipality authorized
the Capital Work(s), each such additional cost amount and each such additional debenture
authority (if any), without the approval of the Local Planning Appeal Tribunal pursuant to the
Regulation.
4. No application has been made or action brought to quash, set aside or declare
invalid the Debenture By-law or the Authorizing By-law(s) nor have the same been in any way
repealed, altered or amended, except insofar as some of the Authorizing By-law(s) may have
been amended by any of the Authorizing By-Iaw(s), and the Debenture By-law and the
Authorizing By-law(s) are now in full force and effect.

5. All of the recitals contained in the Debenture By-law and the Authorizing By-
law(s) are true in substance and fact.
6. To the extent that the public notice provisions of the Act are applicable, the
Authorizing By-law(s) and the Debenture By-law have been enacted and passed by the Council
of the Municipality in full compliance with the applicable public notice provisions of the Act.
7. None of the debentures authorized to be issued by the Authorizing By-law(s)
have been previously issued.
8. All of the sewer and water works which constitute part of the Capital Works and
which require the approval of the Ministry of the Environment, Conservation and Parks will be
or have been completely and properly approved by the Ministry of the Environment,
Conservation and Parks, as the case may be.
9. The Municipality is not subject to any restructuring order under Part V of the Act
or other statutory authority, accordingly, no approval of the Authorizing By-law(s) and of the
Debenture By-law and/or of the issue of the OILC Debentures is required by any transition
board or commission appointed in respect of the restructuring of the Municipality.
10. The Authorizing By-law(s) and the Debenture By-law and the transactions
contemplated thereby do not conflict with, or result in a breach or violation of any statutory
provisions which apply to the Municipality or any agreement to which the Municipality is a party
or under which the Municipality or any of its property is or may be bound, or, to the best of my
knowledge, violate any order, award, judgment, determination, writ, injunction or decree
applicable to the Municipality of any regulatory, administrative or other government or public
body or authority, arbitrator or court.

authority in respect thereof (if any), the Treasurer calculated the updated relevant debt and
financial obligation limit in accordance with the applicable debt and financial obligation limits
regulation (the "Regulation"). The Treasurer thereafter determined that the estimated annual
amount payable in respect of the Capital Work(s), each such additional cost amount and each
such additional debenture authority (if any), would not cause the Municipality to reach or to
exceed the relevant updated debt and financial obligation limit as at the date of the Council's
approval. Based on the Treasurer's determination, the Council of the Municipality authorized
the Capital Work(s),each such additional cost amount and each such additional debenture
authority (if any), without the approval of the Local Planning Appeal Tribunal pursuant to the
Regulation.
3. As at the date hereof the Municipality has not reached or exceeded its updated annual
debt and financial obligation limit.
4. In updating the relevant debt and financial obligation Iimit(s), the estimated annual
amounts payable described in the Regulation were determined based on current interest rates
and amortization periods which do not, in any case, exceed the lifetime of any of the purposes
of the Municipality described in such section, all in accordance with generally accepted
accounting principles for local governments as recommended, from time to time, by the relevant
Public Sector Accounting Board.

5. The term within which the debentures to be issued for the Municipality in respect of the
Capital Work(s) pursuant to the Debenture By-law are made payable does not exceed the
lifetime of such Capital Work(s).
6. The aggregate principal amount now being financed through the issue of debentures
pursuant to the Debenture By-law in respect of the Capital Work(s) does not exceed the net
cost of such Capital Work(s).
7. The money received by the Municipality from the sale of the debentures issued pursuant
to the Debenture By-law, including any premium, and any earnings derived from the investment
of that money after providing for the expenses related to their issue, if any, shall be apportioned
and applied to the Capital Work(s), and to no other purpose except as permitted by the
Municipal Act, 2001.
8. On or before October 17, 2022, 1 as Treasurer, signed the fully registered amortizing
debenture numbered 2022-085 in the aggregate principal amount of $1,600,000.00 dated
October 17, 2022, registered in the name of Ontario Infrastructure and Lands Corporation and
authorized by the Debenture By-law (the "OILC Debenture").
9. On or before October 17, 2022, the OILC Debenture was signed by H.S. Hughes, Mayor
of the Municipality at the date of the execution and issue of the OILC Debenture, the OILC
Debenture was sealed with the seal of the Municipality, the OILC Debenture is in all respects
in accordance with the Debenture By-law and in issuing the OILC Debenture the Municipality
is not exceeding its borrowing powers.
10. The said H.S. Hughes, is the duly elected Mayor of the Municipality and that I am the
duly appointed Treasurer of the Municipality and that we were severally authorized under the
Debenture By-law to execute the OILC Debenture in the manner aforesaid and that the OILC
Debenture is entitled to full faith and credence.
11. No litigation or proceedings of any nature are now pending or threatened, attacking or
in any way attempting to restrain or enjoin the issue and delivery of the OILC Debenture or in
any manner questioning the proceedings and the authority under which the same is issued, or
affecting the validity thereof, or contesting the title or official capacity of the said Mayor or myself
as Treasurer of the Municipality, and no authority or proceedings for the issuance of the OILC
Debenture or any part of it has been repealed, revoked or rescinded in whole or in part.
12. The representations and warranties of the Municipality set out in the rate offer letter
agreement (as described in the Debenture By-law) were true and correct as of the date of the
request to purchase the debentures in respect of the Capital Work(s) pursuant to the Debenture
By-law and are true and correct as of the date hereof and the Municipality is not in material
default of any of its obligations under such rate offer letter agreement.

Within the Township of Oro-Medonte—Rowanwood Road
Whereas Section 11(3) of the Municipal Act, 2001, S.O. 2001, c.25, as amended,
provides that municipalities may pass by-laws with respect to highways;
And Whereas Section 31(2)of the Municipal Act, 2001, S.O. 2001, c.25, as amended,
provides that land may only become a highway by virtue of a by-law establishing the
highway;
And Whereas Section 26 of the Municipal Act, 2001, S.O. 2001, c.25, as amended,
defines what constitutes a highway;
And Whereas Section 61(1)of the Municipal Act, 2001, S.O. 2001, c.25, as amended,
provides that a municipality may enter upon land lying along a highway to install and
maintain a sign setting out the name of a highway;
And Whereas Rowanwood Road is a public highway laid out and was dedicated as
such on the Registered Plan of Subdivision (Plan 51 M-224);
And Whereas title to Rowanwood Road vested in the former Township of Oro, upon the
registration of Plan 51 M-224, but has not been assumed by the Municipality;
And Whereas the Rowanwood Conservers Society Co-operative Incorporated remains
obliged under the subdivision agreement registered as Instrument R066474 on March
151", 1985 (the "Subdivision Agreement')to undertake maintenance upon the said
Rowanwood Road until such time as the Township has assumed the road (by by-law);
And Whereas the Council of the Township has agreed to assume Rowanwood Road
on the basis that Rowanwood Road would be remain a gravel surfaced road;
And Whereas it is acknowledged that if, in the future the owners of property abutting
Rowanwood Road request the road to be hard surfaced, the then Council of the
Township may consider, in its sole discretion, to grant such request and impose
charges on the owners of abutting lands to fund such hard surfacing;
Now Therefore the Council of the Township of Oro-Medonte hereby enacts as follows:
1. That Rowanwood Road as laid out in Plan 51 M-224 is hereby established and
assumed for use as a public highway;
2. That Rowanwood Road shall be maintained as a gravel surfaced public highway;
and
3. That this by-law shall take effect on the final passing thereof.

authorizes a municipality to pass by-laws respecting highways, including traffic on
highways;
And Wherreas Council deems is appropriate to amend Schedule "A"to prohibit heavy
truck traffic on certain highways under the jurisdiction of the Township of Oro-Medonte;
Now Therefore the Council of the Township of Oro-Medonte hereby enacts as follows:
1. That Schedule"A" of By-law No. 2021-060 be amended to include the following:

Being a By-Law to Confirm the Proceedings of the Council Meeting held on
Wednesday, September 28, 2022
Whereas Section 5 of the Municipal Act, 2001, S.O. 2001, C. 25, as amended provides
that the powers of the Municipal Council shall be exercised by By-Law, unless the
municipality is specifically authorized to do otherwise;
And Whereas The Council of The Corporation of the Township of Oro-Medonte deems
it expedient that the proceedings at this Council Meeting be confirmed and adopted by
By-Law;
Now Therefore the Council of The Corporation of the Township of Oro-Medonte hereby
enacts as follows:
1. That the actions of the Council at its Council Meeting held on Wednesday,
September 28, 2022, and in respect to each Motion, Resolution and other actions
passed and taken by the Council at its said Meeting is, except where prior approval
of the Ontario Land Tribunal is required, hereby adopted, ratified and confirmed.
2. That the Mayor and the proper Officials of the Township are hereby authorized and
directed to do all things necessary to give effect to the said action or to obtain
approvals where required and to execute all documents as may be necessary on
behalf of the Council of the Corporation of the Township of Oro-Medonte.
3. That the Mayor/Chair and Clerk/Designate are hereby authorized and directed to
execute and affix the corporate seal to all necessary documents.
4. And That this by-law shall come into force and take effect on the final passing
thereof.
