BY -LAW NO. 2013-135
Being a By -law to Repeal By -law 2013 -065 and to Authorize the Execution of a
Subdivision Agreement between the Corporation of the Township of Oro - Medonte
and South Shore Isabella Estates Inc.
WHEREAS, Section 51, Subsection (26) of the Planning Act, R.S.O. 1990, Chapter
P.13, as amended, provides that municipalities may enter into agreements imposed as
a condition to the approval of a plan of subdivision and such agreements may be
registered against the land to which the subdivision plan applies being Pt Lot 5,
Concession 14, Medonte as in R0167598 Except Pt 1, 51 R37351; Township of Oro -
Medonte (Geographic Township of Medonte), County of Simcoe, PIN 58530 -0393 (LT),
(known as the South Shore Isabella Estates Inc. Subdivision), Township of Oro -
Medonte, County of Simcoe;
AND WHEREAS Council enacted By -law 2013 -065 authorizing the execution on a
subdivision agreement on May 1, 2013 which is now required to be amended;
NOW THEREFORE the Council of the Corporation of the Township of Oro - Medonte
hereby enacts as follows:
1. THAT the Mayor and Clerk are hereby authorized to execute, on behalf of the
Township of Oro - Medonte, a Subdivision Agreement, a copy of which is attached
hereto and forms part of this By -law as Schedule "A ";
2. THAT the Subdivision Agreement, a copy of which is attached hereto and forms
part of this By -law as Schedule "A ", be registered on title against the lands
described therein;
3. THAT the Township of Oro - Medonte shall be entitled to enforce the provisions of
the Subdivision Agreement against the owners and any and all subsequent
owners of the land;
4. THAT this By -Law shall come into effect upon the date of passage hereof,
subject to the provisions of the Planning Act, as amended.
5. THAT By -law 2013 -065 is hereby repealed in its entirety.

SCHEDULE
1. Transfer of Easement
The Transferor hereby transfers unto the Transferee, the right and easement in gross and in
perpetuity in, over, along, upon, under and through Part Lot 11, Plan 51 M -1015 designated as
Part 9 on Plan 5113-39084, and Part Lot 12, Plan 51M-1015 designated as Part 2 on Plan
5113-39084, Township of Oro - Medonte, County of Simcoe (the "Easement Lands ") to
construct, maintain, inspect, test, alter, remove, replace, reconstruct watermain(s) and all
appurtenances thereto, including pipes, tees and valves as may be required by the Transferee
for the transport of water.
2. Right of Access and Egress
Together with the right, access and egress over the Easement Lands for itself, its servants,
agents, contractors, sub- contractors with or without vehicles, machinery and equipment for all
purposes in connection with or incidental to the exercise of the right and easement herein
transferred as and from the date hereof and continuing in perpetuity.
3. Terms and Conditions
The aforesaid right and Easement is herein granted and transferred on the following terms:
(a) Rights of Transferor
The Transferor shall have the right fully to use and enjoy the Easement Lands provided
however that without the prior written consent of the Transferee, the Transferor shall not
alter, remove or permit to be removed, any soil from the Easement Lands, nor shall the
Transferor excavate, drill, install, erect or permit to be excavated, drilled, installed or
erected in, over, upon, under or through the Easement Lands, any pit, well, foundation,
pavement, building, or other structure.
(b) Transferee's Rights Not to be Interrupted
The Transferee in performing and observing the covenants and conditions on its part shall
and may peaceably hold and enjoy the right and easement herein granted without
hindrance, molestation or interruption on the part of the Transferor or of any person
claiming by, through, under or in trust for the Transferor.
(c) Restoration
The Transferee agrees after it has performed any work on the Easement Lands to restore
the surface as far as practicable to that prior to commencement of construction, with the
finished grade to match the existing grade.
(d) Additional Documents
The Transferor will, if so requested by the Transferee, execute such further and other
documents of title and assurances in respect of the Easement Lands as may be required
and such documents shall be prepared at the expense of the Transferee.
(e) Burdened and Benefited Lands
This is an Easement in Gross.

WHEREAS the Transferee is the owner in fee simple of those lands and premises (the "Transferee's lands ") being
composed of Parts of Town Lots 5 and 6 on the North side of Adelaide Street West according to the Plan of the Town of York and
designated as Parts I and 2, Plan 63R -545, City of Toronto.
WHEREAS the Transferor is the owner in fee simple of lands described as Part Lot 5, Concession 14, Geographic
Township of Medonte and designated as Part 1, Plan 51R- 39084, Oro - Medonte (the "Property ").
THE TRANSFEROR grants and transfers to the Transferee, its successors and assigns to be used and enjoyed as
appurtenant to the Transferee's lands, a free and unencumbered easement (the "Easement ") in perpetuity upon, over, in, under and across
lands more particularly described in the Properties Section of this Transfer Easement attached (the "Easement Lands "):
1. the right to construct, operate, maintain, repair, replace, renew, or make additions at all times to telecommunications
facilities
(the "Facilities ") or any part thereof forming part of continuous lines between the Transferee's lands and other lands including,
without limitation, all necessary cable and wires (both buried and aerial), conduits, conduit structures, markers, poles, anchors,
guys, maintenance holes, fixtures, equipment, and all appurtenances thereto.
2• the right of free and unimpeded access at all times to the Transferee, its contractors, agents, employees, vehicles, equipment,
and supplies to and over the Easement Lands.
.3• the right of free and unimpeded access at all times to the Easement Lands from and over the Property or abutting road
allowances or abutting rights of way for the purpose of exercising the rights hereby granted.
4• the right to remove, trim, sever, or fell any obstructions such as trees, roots, brush, stumps, boulders or rock encountered during
the course of construction or subsequent maintenance of the Facilities.
THE TRANSFEROR shall have the right to fully use and enjoy the Easement Lands provided that without the prior
written consent of the Transferee, such consent not to be unreasonably withheld, the Transferor shall not place any buildings or other
structures or dig, drill, pave or excavate within the Easement Lands.
THE TRANSFEREE shall:
1• be responsible for any damage caused at any time by its agents or employees to the Property. When practical, the Transferee,
after any of its activities, shall restore the Property appropriately. The subsequent maintenance of the Property shall be the
responsibility of the Transferor.
2. indemnify and save the Transferor harmless from all actions, causes of actions, suits, claims and demands of every nature and
kind whatsoever which may be made against the Transferor relating to or arising out of the placement of the Facilities by the
Transferee and for which the Transferee, in law, is responsible.
3• at its sole discretion, be permitted to attach, or permit the attachment of, wires, cables and equipment of any other company or
commission for the purposes only of supplying a service to the public.
NOTWITHSTANDING any rule of law or equity and even though any of the Facilities may become annexed or
affixed to the Easement Lands, title to the Facilities shall nevertheless remain in the Transferee.
THIS AGREEMENT including all rights, privileges, and benefits herein contained shall extend to, be binding upon,
and enure to the benefit of, the parties hereto and their respective heirs, executors, administrators, successors, and assigns.
THE TRANSFEREE, in the event it grants a release of Easement, may abandon the Facilities annexed /affixed to the
Easement Lands at its option.
