2010-115 Establish a Compliance Audit CommitteeTHE CORPORATION OF THE TOWNSHIP OF ORO-MEDONTE BY-LAW NO. 2010-115 A By-law to Establish a Compliance Audit Committee (CAC) WHEREAS Sections 81 and 81.1 of the Municipal Elections Act, 1996, S. 0. 1996, c. 32, as amended, provides for the requirements of a Compliance Audit Committee; AND WHEREAS Section 224 of the Municipal Act, 2001, S.O. 2001, c. 25, as amended, provides that the role of Council is to ensure that the administrative practices are in place to implement the decisions of Council; AND WHEREAS Council for The Corporation of the Township of Oro-Medonte declared by Motion No. CW100616-04 to approve the establishment of a Compliance Audit Committee NOW THEREFORE the Council of the Township of Oro-Medonte hereby enacts as follows: 1. That the Township of Oro-Medonte's Procedural By-law shall govern the proceedings and activities of the Compliance Audit Committee. 2. That persons appointed to the Compliance Audit Committee shall be paid such remuneration and expenses as Council provides. 3. That the Terms of Reference attached hereto as Schedule "A" shall form part of this by-law. 4. That this by-law shall take effect on the final passing thereof. J.`Dojdcctfas Irwin Schedule "A" to By-law No. 2010-115 THE CORPORATION OF THE TOWNSHIP OF ORO-MEDONTE TERMS OF REFERENCE COMPLIANCE AUDIT COMMITTEE 1. Name The name of the Committee is "The Township of Oro-Medonte Compliance Audit Committee". 2. General The Compliance Audit Committee shall be established before October 1 of an election year. The term of office for the Compliance Audit Committee is the same as the term of office of Council, being four years. 3. Mandate The powers and functions of the Compliance Audit Committee are set out in Sections 81 and 81.1 of the Municipal Elections Act, 1996, as amended. The Compliance Audit Committee will perform the functions relating to the compliance audit application process as outlined in the Act. These functions include: a) considering a compliance audit application by an elector and decide whether it should be granted or rejected; b) appointing an auditor, if the application Is granted; c) receiving the auditor's report; d) considering the auditor's report and decide whether legal proceedings should be commenced; and e) determining whether to recover costs of conducting the compliance audit from the applicant if the auditor's report indicates there were no apparent contraventions and if there appears to be no reasonable grounds for having made the application. 4. Membership The Compliance Audit Committee will be composed of three (3) members. The following are excluded from being members of the Committee: • Candidates in the election for which the Committee is established; • Council or Local Board Members; and • Municipal Employees and Officers. Should an appointed Member accept employment with the municipality or register as a candidate, their appointment will be terminated. To avoid any potential conflict of interest, applicants with accounting or auditing backgrounds must agree in writing that they will not offer their services to any municipal election candidates. 5. Chair The Compliance Audit Committee members shall select a Chair from amongst its members at its first meeting. 6. Membership Selection Through public recruitment, applications will be presented to Council in Closed Session for consideration of appointment to the Compliance Audit Committee. The selection criteria will be based on, but not limited to: • Demonstrated knowledge and understanding of municipal election campaign financing rules; • Proven analytical and decision-making skills, • Experience working on committees, task forces or similar settings, • Demonstrated knowledge of quasi-judicial proceedings, • Availability and willingness to attend meetings; and • Excellent oral and written communications skills 7. Meetings The Compliance Audit Committee will meet, as needed, with meetings to be scheduled by the Clerk, in consultation with the Chair, when a compliance audit application is received. Meetings of the Compliance Audit Committee will be conducted in accordance with the open meeting requirements of the provisions of the Municipal Act, 2001, subject to any need to meet in closed session for a purpose authorized by Section 239 of the Municipal Act, 2001 and the provisions of the Township's Procedural By-Law. The website will be utilized to communicate the meeting notices and agendas.
