THE CORPORATION OF THE TOWNSHIP OF ORO-MEDONTE
BY-LAW NO. 2000- 53
Being a By-law to authorize the sale ofsurplus land to, Walker and Haddow Inc., being
Part of West Half Lot 16, Concession 9, Plan 51R-I0820, Part 1, Township ofOro-Medonte
(formerly Township of Medonte)
WHEREAS the Municipal Act, R.S.O. 1990, c.M.45, Sections 191 and 193, as amended,
authorize a Council of a municipality to dispose of surplus real property in accordance with the
provisions of a by-law passed by the Council establishing procedures governing the sale of such
real property;
AND WHEREAS Council passed By-law No. 96-35, pursuant to Section 193 of the Municipal
Act on the 17th day of April, 1996, being a by-law to establish procedures governing the sale of
real property;
AND WHEREAS pursuant to Schedule "A" to the said By-law No. 96-35, the appropriate steps
were followed to declare the lands described in Schedule "A" attached hereto as surplus to the
needs of the Municipality, and Council, by Resolution No.6 dated October 21, 1998, declared
the said lands to be surplus and directed that notice of sale be published in accordance with B y-
law 96-35; .
AND WHEREAS the Municipality published Notice ofInvitation to Submit Tenders for the
listing of the subject property in accordance with the provisions of Schedule "A" to By-law 96-
35, and the Municipality subsequently listed the property for sale and entered into an Agreement
of Purchase and Sale thereafter in the fonn of the Agreement of Purchase and Sale attached
hereto as Schedule "B";
AND WHEREAS the Municipality subsequently conveyed the lands in Schedule "A" attached
hereto to Walker and Haddow Inc. pursuant to the tenns of the Agreement of Purchase and Sale
on the May 15,2000;
AND WHEREAS it is deemed expedient to confinn the actions of the Municipality in
conveying the subject lands;
NOW THEREFORE the Council of The Corporation of the Township ofOro-Medonte hereby
enacts as follows:
1. The Municipality hereby authorizes and confinns the sale of the lands described in Schedule
"A" attached hereto to Walker and Haddow Inc. for the sum of$105,000.00.
2. The actions ofthe Mayor and the Clerk are hereby confinned and ratified in respect of the
execution of the Listing Agreement and the Agreement of Purchase and Sale in connection
with the lands described in Schedule "A" attached hereto, together with the execution of all
other documentation required to give effect to the sale of the said lands.
By-law read a first and second time this 7th day of June, 2000.
By-law read a third time and finally passed this 7th day of June, 2000.

COMMISSION TRUST AGREEMENT: If the above information indicates that a co-operating Broker will receive commission other than diredly from
the Purchaser, then this Confirmation, when executed and delivered by the listing Broker, shall constitute a Commission Trust Agreement, the
consideration for which is the Co-operating Broker procuring an offer for a trade of the property, acceptable to the Vendor. This Commission Trust
Agreement shall be subjed to and governed by the MlS rules and regulations pertaining to commission trusts of the listing Broker's local real estate

Pay the balance of the Purchase Price, in cash or by certified cheque, to the Vendor on closing, subject to the
usual adjustments.
This Offer is conditional upon the inspection of the subject property by a home inspector and the obtaining of a
report satisfactory to the Purchaser at his own expense. Unless the Purchaser gives notice In writing delivered
to the Vendor by 5:00 p.m. on the 5TH day of NOVEMBER, 1999, that this condition Is fulfilled, this Offer shall be
null and void and the deposit shall be returned to the Purchaser in full without interest. The Vendor agrees to
co-operate In providing access to the structure for the purpose of this inspection. This condition is included for
the sole benefit of the Purchaser and may be waived at his option by notice in writing to the Vendor within the
time period stated herein.
This Offer Is conditional upon the Purchaser determining, at his own expense, that: all environmental laws and
regulations have been complied with, no hazardous conditions or substances exist on the land, no limitations or
restrictions affecting the continued use of the property exist, other than those specifically provided for herein, no
pending litigation respecting Environmental matters; no outstanding Ministry of Environment and Energy Orders,
Investigation, charges or prosecutions respecting Environmental matters exist; there has been no prior use as a
waste disposal site, and all applicable licenses are in force. The Vendor agrees to provide to the Purchaser upon
request all documents, records, and reports relating to environmental matters In possession of the Vendor. The
Vendor further authorizes Ministry of the Environment, to release to the Purchaser, his Agent or Solicitor, any
and all information that may be on record in the Ministry office with respect to the said property. The Vendor
further agrees to allow the Purchaser access to the property for the purpose of soil analysis testing at the
Purchaser's own expense. Purchaser further agrees to leave the property in the same condition as they found it.

9. FUTURE USE: Vendor and Purchaser agree that there is no representation or warranty of any kind that the future intended use of the property by Purchaser is

10. TITLE: Provided that the title to the property is good and free from 011 registered restridions, charges, liens, and encumbrances except as otherwise specifically provided in
this ~reement and save and except for (0) any registered restridions or covenants that run with the land providing that such ore complied with; (b) any registered
municipal agreements and registered agreements with publicly regulated utilities providing such hove been complied with, or security has been posted to ensure compliance

Unless the Purchaser gives notice in writing delivered to the Vendor by 5:00 p.m. on the 5th day of NOVEMBER,
1999, that the preceding condition has been fulfilled, this Offer shall become null and void and the deposit shall
be returned to the Purchaser in full without interest. This condition is included for the sole benefit of the
Purchaser and may be waived at his option by notice in writing to the Vendor within the time period stated.

THESE CONDITIONS are included for the benefit of the Purchaser and may be waived at any time during the
conditional period, at the Purchaser's sole option.
THE VENDOR agrees to supply the Purchaser with an up-to-date copy of survey showing the location of the
dwelling including any addition in relation to the lot lines, on or before the FEBRUARY 1, 1999 at the Vendor's
expense. Said survey shall be suitable for mortgage purposes.
THE VENDOR warrants that the septic system is in good working order and that to the best of the Vendor's
knowledge that said system was installed in accordance with the provisions of the local Health Authorities
having jurisdiction.
THE VENDOR warrants that the well agreement between Moonstone Water System Corporation and Township of
Oro-Medonte is assignable to the new purchaser at a cost of $20.00 per month approx. for 1999 and guarantees a
continued use of water supply providing purchaser pays water levy from date of closing.
THE VENDOR agrees to supply to the Purchaser, prior to the last date set for examining title, a Certificate of
Potability from the local Health Authority having jurisdiction over the area stating that the water is safe for human
consumption.
THIS OFFER is conditional upon the Vendor obtaining at the Vendor's own expense, a re-zoning to allow for
offices (light industrial) mail order business/showroom/assembly for said property. The Vendor agrees to
proceed in a diligent manner to acquire the re-zoning. Unless the Vendor gives notice in writing delivered to the
Purchaser that this condition has been filled by 6:00 p.m. on the 30th day of JANUARY 2000, this offer shall
become null and void at the purchaser's discretion and the deposit shall be returned to the Purchaser in full
without interest or deduction.
Notwithstanding the completion date set out in this Offer, the Purchaser may advance the completion date of the
transaction by not more than 90 days, by giving written notice of the amended completion date to the Vendor or
