(No doubt you are aware that the proposed operation is actually for three pits to be operating concurrently on the listed property.) In this regard we have three proposals to place before council. Our participation in this hearing was based on the potential for environmental damage; a potential that despite many letters from us to the township, the township refused to contest. During the course of this hearing, Nick McDonald, Planning Consultant, testifying on behalf of the township, did acknowledge that there were valid environmental concerns. Despite this acknowledgement, neither Nick McDonald nor the township legal counsel, Chris Williams, participated in nor audited the portion of the hearing that dealt with the environment. In fact, ifit were not for the participation of Big Cedar, the township would not now be in the position of enforcing an existing by-law that forbids the washing in Hillway's Pit 5 of aggregate trucked in from any other pit. There is no doubt that the active participation of Big Cedar in this hearing had a positive effect on the degree of control imposed upon the applicant, and the resultant decision of the applicant to actively pursue the option of a direct route to the 13th Line. Our participation in this hearing has been at a substantial cost to our membership; approximately $120,000. In addition, as Oro-Medonte taxpayers, we also bear a portion of the township's considerable costs in this case. In view of the positive role our position played in this ongoing hearing, we believe it appropriate to request the township to at least share our costs. We ask that YOll share our legal and professional fees on a 50-50 basis and would appreciate your full consideration of our request. .../2 --REC-----:Dl AUG 2 5 1005 I ORO-MEDONTE TOWNSHIP '-\6. -~ We have also been advised by our legal counsel that it would be prudent to conduct air quality tests, mainly in regard to quantities of particulate, prior to the operation ofthe pits. Such tests might disclose whether protective measures should be taken to protect the residents of Big Cedar and Rugby from any detrimental results of air pollution. Air pollution is becoming a major issue in this province, particularly in regard to an ageing population, and we are concerned as many of our residents are presently afflicted in some part with breathing difficulties. We therefore ask Council to undertake this study for our protection. Conceivably such a testing program would provide Council with valuable information in regard to other communities in Oro-Medonte, which could also be at risk in regard to air quality. Finally, Commissioner Jackson's report contained the recommendation that a committee composed of representatives from the municipality, Rugby, Big Cedar and Hillway, be established to monitor the pit operation on a quarterly basis. Although not specifically stated, we believe the monitoring function to be one of ensuring that the pit operation is observing all the special conditions agreed to, and set forth in the OMB decision, and subsequently in a municipal by-law. We are willing to participate in this exercise but we believe that considerably more detail must be provided regarding the specific duties of this committee, and its ability to take action, should the conditions be ignored by the operator. We believe that this committee would require professional guidance and ask that the township provide such guidance by means of the individual that they eventually name to be part of the committee. Our degree of confidence in the operator's observing all the stated restrictions without the review of such a committee, is extremely low. We ask that the township review these requests and that we be permitted to make a deputation directly to Council to further explain our concerns and respond to any questions that might arise. (Hillway) gravef pit development on the air qualiLy at Big Cedar Estates, Hawkestone, Ontario. A peer review of the Valcoustics Noise Impact Anafysis dated September 7, 1999 will also be completed to ensure that the study addressed all pertinent noise sources and receptors. The proposal outlines the approach/methodology, equipment, and costs to complete the proposed work. Backgrouud Hillway has applied JDr a license and land use rezoning in order to permit extraction of aggregates from properties located approximately 500 m south of Big Cedar Estates. An Environmental Impact Study was completed on behalf of Hillway including a Techqical Background Report and Environmental Report by Skelton, Brumwell and Associates Inc., and a Noise Assessment by Va1coustics to support the license and land use rezoning applications. Jt has been noted that none of the above reports discussed air quality environmental impaets on the area surrounding the proposed development, including Big Cedar Estates. The Big Cedar (ORO) Estates Residence Association is concerned with possible environmental impacts on their properties, especially air quality impacts from fugitive dust produced by aggregate extraction activities and from haul trucks travelling Lo and from the Hillway site. Environmental Scionces ." 54145 Jalll/{II),20, 2005 Letter to Bill Soles (Co1l(illlled) Page 2 Proposed Work SENES proposes that a baseline total suspended particuJate (TSP) air monitoring program be completed at the Big Cedar Estates to establish the existing dust concentrations in the vicinity of the existing residences. An emissions inventory will then be completed based on site specific infonnation (e.g. annual throughput, type and number of pieces of equipment, number of shipping trucks, etc.) provided in the noise study and other background documents) to calculate typicaf and maximum TSP and PMIO emissions from the aggregate extraction activities. This will be followed by air dispersion modelling to predict the effects of the proposed Hillway devefopment on the air quafity at Big Cedar Estates. Should a license and land use rezoning be granted to Hillway, a follow-up air monitoring program could be completed to measure actual air quality environmental impacts on the Big Cedar Estates (additional air monitoring program not included in below cost estimate). SENES also proposes that a peer review of the Noise Assessment (compfeted by Valcoustics) be included in this study, as Big Cedar Estates was not specifically considered in their report Equipment for Mouitoring Program SENES suggests the use of High Volume air samplers (Hi-vols) to collect samples of TSP. Hi-vols are Lhe Ministry of Environment (MOE) reference method for sampling ambient particufate. These units require a source of AC power, and as a result, high-grade power extension cables (e.g. 12 gauge) must be used if the units are located more than 100 feet from a power source. Samplcs are collected onto 8"xIO" filters. The typc of filter mcdia used is dependent on the type of analysis required. Glass fibre filters are typically used for gravimetric analyses, such as the detemlinaLion ofTSP concentrations. The average concentration of particulate in ambient air is calculated by dividing the amount of particulate that has been collected on the filter by the volume of air drawn through the filter. The amount of particulate collected on the filter is detemlined gravimetrically by detemlining the pre- and post-exposure weight difference in the filters, with a microbalance accurate to one microgram. Sampling results are reported in micrograms/cubic meter (flg/m\ Baseline Monitoring Program Sampling & Analysis Procedure SENES proposes thaL the Big Cedar Estates monitoring program follow MOE procedures and protocols for TSP sampling, as documented in MOE Method #E3228. Three Hi-vols will be set up around the property in such a manner as to triangulate the site, based on the prevai ling wind directions. This paLlern will generally allow at least one of the units to be upwind and aL feast , '-HE' , 54145 JiIIlllary 20, 2005 Letter to Bill Soles (Continued) Page 3 one to be downwind at any given time. SENES proposes that the units be run every two days for a one-month period while most, if not all of the other aggregate extraction pits are operating, The MOE and Environment Canada collect Hi-vof sampfes for TSP at various locations throughout Ontario on a 6-day cycle. The Big Cedar Estates program should be set up such that every 3'd sample (e.g. every 6 days) is coincident with the sampfes collected by the MOE and Environment Canada. The Hi-vol units will be calibrated at least twice, according to MOE protocols; once upon deployment, and once upon compfetion of the program. This is done to ensure that the sampfe air flow rates, which are recorded throughout the collection of the sample, are accurate. In order to reduce costs, SENES will train selected persons at Big Cedar Estates on the operation of the Hi-vol samplers. These individuals will then be responsible for collecting the samples, changing the filters every 2 days, and ensuring that the units are operating properly throughout the duration of the program. Should any operational problems arise with the units (e.g. they won't run), SENES staff should be contacted immediatcly for an emcrgency site visit. Such site contingencics have not been included in the costs presented in the following section. If an unpJanned, emergency visit were necessary, Big Cedar Estates would be billed for the work (likely I day, ifnecessary) at the SENES' staff rate (approximatefy $600 + travef costs). The TSP samples will be analyzed for total particulate (gravimetric). Prior to sampling, the filters will be conditioned and pre-weighed in a humidity-controlled chamber at the faboratory. The filters will be numbered, and after sampling they are folded, placed in an envefope, and rcturncd to the faboratory for analysis. The filters are post-weighed in the same humidity controlled chamber, on the same balance, to ensure minimal interference. Once all of the monitoring data has been received, it will be analyzed, and compiled into a report documenting the methodology used and the results obtained. The measuremenLs will be compared against MOE AAQCs to deteqlline whether the existing particulate levels exceed the standards. Upon completion of the monitoring program, SENES will send the filters to the laboratory for final analysis. SENES will also obtain mcteorological data from the nearest Environment Canada station in order Lo assess whether the units were upwind or downwind on any particufar sample day, in addition to examining other relevant meteorological parameters (such as temperature, wind speed, etc.). Air Dispersiou Modelling The activity data provided in the background documents (annual extraction levels, type and number of equipment, eLc) will be used in conjunction with established methods and protocols (i.e. U.S. EPA emission factors) to estimate the totaf dust emissions from Lhe proposed Hillway ,'ENE, I 54145 Jalluary 20, 2005 Letter to Bill Soles (Colltillued) Page 4 sand and gravel operation. These emissions will be input into an accepted air dispersion model (such as the US. EPA Industrial Source CornpJex (ISC3) Model) to predict the average and mllximum expected concentmtions lit the Big Cedar monitoring loclltions from the pit. Emissions li-Oln trucl< travel on the primllry hlluf route will afso be included. The llverllge mellsured baseline concentmtions will be lidded to these vlllues to determine the totlll concentrations. The average and maximum totaf predicted concentrations will be compared to Ontario Ministry of the Environment (MaE) Ambient Air Quality Criteria (AAQCs). The frequency of any predicted exceedances will also be tabulated. Noise Assessmeut Peer Review As part of this assessment, SENES' noise expeli, who has a great deaf of experience with noise assessments from pits, quarries and other related activities, will peer review the noise assessmenL completed in support of the Hillway pit. In particular, SENES will evaluate: . whether documented and established procedllres were followed Il1 completing the assessment; . whcther the proposed equipment (and number) is reasonable, based on the extracLion rate; . whether the proposed hours of operation are reasonable, from a noise perspective; . whether noise from the increased number of trucks on the haul route may constitute a nuisance impact; . provide an overall opinion on the potential nuisance effects on Big Cedar Estates; llnd . provide an overall opinion as to whether fwiher mitigation is required. Reporting Once the assessments have been completed, SENES will produce a final report that documents the approach and methodology, in addition to all results, analyses and any conclusions/recommendations. The results of the dispersion modelling will be presented in boLh tabular and graphical formats. The report will be submitted within 2 weeks of completion of the dispersion modelling study (assumed to be after the monitoring program is complete). Normal business protocol would suggest a reply within a week, especially regarding such a time sensitive issue from the people who elected you. Our Bass Lake Ratepayers Association would like to know the formal position of the Township on this issue regarding dumping unacceptable tar and stone road surface into our sensitive wetlands. We intend to meet with the media and would prefer to have your offical position instead of having to tell them that we were just ignored. In addition to the act of putting this fill in the lake, we still expect the Township to take a leading role in establishing effective policies regarding fill and tree cutting around the shores of our waterways. These should ideally be in conjunction with the other agencies, but the responsibility for leadership in protecting our environment should come from you and your Council. Furthermore, we would like you to arrange for No Parking signs to be erected at the end of Ward Avenue to avoid future disruption to our pleasant little enclave by outsiders parking here while using this new facility which you so kindly built for them. While. I have your attention..... I was dismayed to see a Township Fire Truck (large) being used to deliver surveys asking if we wanted our taxes raised to pay for addition medical services! I believe gas was $1.01 the day the truck came down our street. I sure hope you have finished this expensive misadventure, now that gas is $1.24 at Prices Corners! ! assume that the crew were doing this voluntarily. I would hate to think we, the taxpayers who elected you, also paid for their time! Surely it would have been cheaper to mail out these surveys (if required at all). We would appreciate your assistance in ensuring that all members of your organization that deal with the public are aware that this survey is underway. The survey will consist of telephone interviews of a randomly selected sample of households in the Greater Toronto Area and surrounding areas. The areas outside the Greater Toronto Area are to be surveyed from September to December 2005 with the GTA area being surveyed during the same period in 2006. The local governments participating in this first phase are the Regional Municipality of Niagara and Waterloo, the Counties of Dufferin, Peterborough, Simcoe, and Wellington and the Cities and Towns of Barrie, Brantford, Guelph, Kawartha Lakes, Orangeville, and Peterborough. The Ministry of Transportation Ontario is providing financial support in both phases of the study. The purpose of the survey is to collect information on the travel habits of residents and provide a data base for long-range planning and improvement of transportation facilities. Similar surveys were conducted in 1986, 1991, 1996 and 2001. In addition to trip information of each household member (i.e. trip origin, destination, time, purpose, method of travel) survey participants will be asked about age, gender, employment status, size of household and number of motor vehicles. The purpose of this survey is to collect information on the travel choices and preferences of people in the area. We need your help to provide this information so we may continue to plan transportation services to meet your area's future needs. Here is how it works. Now you have entered into the Medical Needs Debate you should brace yourselffor a lot more questions, ideas and criticism. I: The Federal, Provincial, County and now the Township all tell us of their contributions to the Health Care System while pointing fingers at each other for downloading additional expenses to each other. I would like to remind you that the only ones really paying for all this is tbe taxpayer - not the 4 levels of government rnentioned above. No matter how you divide the expenses we are still paying the bill. What we don't pay for in direct taxes we eventually pay for it - parking at hospitals, fund raising campaigns, lotteries, user fees - every time a service is cut we end up paying for it out of our pockets. The Medical System will quickly tell us that these costs are necessary because funding has been cut. 2: If we can believe what we read and hear from the various levels of government all of you are currently contributing (our tax dollars) to Physician Recruitment - have you really given serious thought as to why we have such a shortage of Physicians in this country or have you ever invited our local Federal & Provincial Members of Parliament to sit or correspond with Township Council including our Representatives to County Council regarding this problem. It seems the College of Physicians and Surgeons, the Doctors Association and others who have been determining tbe number of students entering University Medical Programs have to take some responsibility and should also be included in such a discussion. For every Physician we attract are we not creating a shortage in the area they are leaving- shouldn't we be more concerned about making sure there are sufficient numbers of graduates to fill the needs oftbe public - in fact a surplus might even reduce the work load and stress for tbe Physicians. 3: Health Care has become the priority focus of all levels of Government over the last few years and often is the excuse for massive spending projects - unfortunately many times these spending projects are funded by cuts in other essential services. It seems that every time I l)%- favourable press is required more money is thrown at health care often this is tbe same money only under a different title. 4: It can be argued that all the attention being focused on Health Care has not really done much to increase the availability, efficiency or quality of the services being offered. 5: Over the last year or so we have been told that traces of prescription drugs are being found in our streams, rivers and lakes, this is causing alarm to the Environmentalists who are worrying about the effect this will have on fish and wildlife. We are also being told that over 15 billion dollars is being spent yearly for prescription drugs. Are some of these ending up in the water - who is looking at this and other areas to see how we can cut waste as well as services to rein in the cost of health care. Over the last few years some Hospitals have received funding which has been spent on such things as redoing lobbies, coffee shops or entrances - would this money not be better spent in actual care related services or equipment. Regarding you initial questions ahout the need of our local Health Services, I would ask: a) Why would a data base be created at the Township Level and just what is going to be in the data base that will help the Physicians - is this data for medical records or for a list of perspective patients? I would say a database tracking the number of prescriptions issued by each doctor might help to control the cost of drugs. b) How much money are you planning to spend on construction and how much for management of such a facility? How will you determine the location of the Medical Centre? c) Does the Township Council really think they are willing to take on the costs, risks and liabilities of managing a Medical Centre? What makes you feel capable of doing this? Will this be profit-generating operation or would it always require contributions? d) How much is the Township currently contributing to Physician Recruitment and how much do you propose raising the amount? Who else is paying into this fund? The idea of the survey is certainly worthwhile and maybe a similar survey should have been taken before you started construction of the new fire hall in Moonstone. Would not an addition to the existing building have been sufficient, many of us locally wonder what new equipment will now be purchased to fill the building? In addition to cost savings, this has resulted in a reduction in waste being generated as containers are not reusable or recyclable. Plan Date: September 12, 2005 Motion # R.M_ File #: A01-14265 Date: RolI#: II BACKGROUND: II The Severn Sound Environmental Association (SSEA) is seeking to co-ordinate with its nine municipal partners, including the Township of Oro-Medonte, to develop a Sustainability Plan for the Severn Sound watershed area. The Federation of Canadian Municipalities (FCM) has agreed to fund 50 percent of the cost of this project, provided that the SSEA member municipalities cover the remaining 50 percent The entire project is slated to take over three years to complete, at a total cost of $250,000.00. The SSEA has requested that Council of the Township of Oro-Medonte provide its support for the initiative, including a pre-budget commitment for the municipality's 2006 financial contribution and staff resources to aid in the development of the Sustainability Plan. The Sustainability Plan will help to ensure that environmental gains made in the region through the SSEA Remedial Action Plan remain sustainable. Communities in the Severn Sound area will need the proper tools to ensure that development growth pressures do not compromise the integrity of the watershed in the years to come. Since funding from senior levels of government for a variety of programs will soon require a Sustainability Plan to be in place, participation in the SSEA/FCM project will provide Oro-Medonte with a solid foundation upon which to build its own plan in the future. It will also provide the opportunity for the nine SSEA member municipalities to share information and co- ordinate efforts, thereby netting efficiencies in staff time and financial resources. II ANAL YSIS: ~~,-g II The Township of Oro-Medonte would not be required to make a financial contribution in 2005. The Township's share for 2006, 2007 and 2008 would be $5,170.00 per year (based on land assessment in the watershed), for a total contribution of $15,509.00 over the three years, during which the Sustainability Plan is developed. The SSEA has requested a pre-budget commitment for the 2006 share from each of the nine partner municipalities, in order to ensure that there is support for the project. Therefore, Council is asked to commit to a contribution of $5,170.00 for the year 2006. A copy of the funding breakdown for each of the SSEA member municipalities is appended to this document. The requested funds would be in addition to the Township's regular annual contribution to the Severn Sound Environmental Association. Mr. Wayne Wilson of the Nottawasaga Valley Conservation Authority was contacted and feels this is a very positive Plan and doesn't represent any duplication of services. II RECOMMENDATION(S): II 1. File #: Date: RolI#: II BACKGROUND: II At the Committee of the Whole of April 26, 2005 staff prepared a report for Council consideration that provided an update re: Survey Results for the Needs Analysis for the Development of Parkland (Sugarbush, Horseshoe Valley, Craighurst, Edgar, and Bidwell). Council authorized staff to host two (2) public workshops to present the survey results and solicit further comments from the public. At a meeting with Mr. Ernie Bottero and Mr. Patrick Capobianco (partners) in May, 2005, staff reviewed the material and received input in planning the public workshops, which were held on Tuesday May 31st, and Saturday June 4th, 2005. Following the public workshops, staff met with Mr. Ernie Bottero and Mr. Patrick Capobianco (partners) in July, 2005 to review input received to-date, and to discuss next steps in respect of soliciting design quotations from qualified consultants to design the proposed facility. Following this meeting, a draft Request for Proposals (RFP) was drafted by staff for further discussion. II ANALYSIS: II Staff met again with our partners on September 7, 2005, who provided minor comments and indicated support to the RFP, which is appended to this report as Attachment #1. As indicated on the RFP, consideration of the proposed facilities for the following components will be sought: 1. Recreation Facility 2. Multi-purpose Pad 3. Playground 4. Pavillion 5. Tubing Hill ~""- d As indicated on the attached RFP, staff will be requesting that qualified consultants attend a mandatory site meeting to answer questions and ascertain the level of interest. Following the site meeting, the formal proposals will be requested to be received on Wednesday October 12,2005. The submission will require that the above noted components be broken down and itemized which will allow the Township to prioritize and/or construct components over a period of time, subject to budget considerations and total project price. It is recommended that staff be authorized to proceed with advertising in the Barrie and Orillia newspapers and post the following Proposal on MERX (public tendering service) and report back with financial commitments to Council for consideration, Further, staff will endeavour to bring a subsequent report for Council's consideration respecting several other matters in respect of the Statement of Intent concerning this matter, including updating the stipulated dates for advancement of funds, updating legal descriptions of partner firm names, and Ontario Municipal Board consideration of the required red-line revision concerning the two additional lots as a result of the decision not to construct parkland on the affected lands. Further, consideration of existing cost-sharing agreements respecting the proposed 6th Line realignment will be reviewed by staff. Lastly, discussions regarding timing of registration of the plans of subdivision and consideration of proposed site works will be considered by staff and reported back to Council at an upcoming meeting, Staff has also taken into Consideration the development of ParkLand in Horseshoe Valley (4th Line - OPP/Fire Hall), and upon review of the survey results and comments received by the public, it is recommended that a "passive park" be considered and that staff report back to Council at the 2006 budget deliberations for consideration. File #: Date: Roll #: II BACKGROUND: II On August 11,2005, one of the Township Livestock Valuers, Andy McNiven, attended a farm to take a report of the killing of a yearling horse. The owner of the horse met Mr. McNiven on site and the carcass was inspected. Several photographs were also taken of the carcass as well as of footprints in the area made by the predator. The Valuer determined, as recorded in his report, that the owner had taken reasonable measure to prevent predation and that the compensation awarded should be $500.00. The Valuer also determined that he had found evidence, to the best of his knowledge and belief, that shows the predator responsible for the damage was a cougar. Mr. McNiven requested that a representative of the Ministry of Natural Resources attend the site to confirm the type of predator. A Ministry representative from Midhurst did attend the site on August 15 with the Valuer and the owner of the livestock. The official position of the Ministry is that there are no wild cougars/pumas in this area. Mr. Stuart Kenn of the Ontario Puma Foundation was asked to comment based on the method of kill and the photos of the tracks. Mr. Kenn's opinion is that the predator was a "cat" but it was not possible to determine the type or size since there was no scale for comparison in the photo. The owner of the horse attended the Township offices on the 18th of August to submit the claim and swear an affidavit as required. The Valuer's report and the affidavit are attached for information (Attachment 1). ~\-~ II ANALYSIS: II Section 3(3) of the Livestock, Poultry and Honey Bee Protection Act states that "the council of a local municipality may pass a by-law providing that where livestock or poultry are killed or injured by wild animals, other than wolves, in the municipality, subsection (1) applies in the same manner". Subsection (1) referred to in this instance, places the liability for the amount of damage incurred on the municipality. The Township of Oro-Medonte has not passed a by-law providing compensation for kills by wild animals. As well, Mr. Robin Chandra of the Ministry of Agriculture and Food advised that his Ministry has no program in place to compensate for livestock kills by wild animals other than wolves, coyotes or bears. Section 4(4) of the Livestock, Poultry and Honey Bee Protection Act states that "Where the valuer finds evidence that to the best of his or her knowledge and belief shows that any of the livestock or poultry was not killed or injured by a dog or a wolf, the council of a municipality may deny liability in whole or in part by written notice given by the clerk of the municipality to the owner of the livestock or poultry within 30 days after the filing of the affidavit with the clerk". The Township of Oro-Medonte participates fully in the programs established by the Ministry of Agriculture and Food to compensate livestock owners in the case of damage by wolves, coyotes and bears. The incidence of predation in the Township by wild animals other than wolves, coyotes and bears has been minimal. It is therefore recommended that the claim for compensation by Mr. Henry Regelink for killing of livestock on August 11, 2005 be denied; and that the Ministry of Natural Resources and the Ministry of Agriculture and Food be advised of this claim. They were: Point to Point Edgar site Rock 95 tower at 8th Line Shanty Bay Moonstone Transmitter & receiver Transmitter & receiver Receiver Receiver However, the Rock 95 tower collapsed and has not been replaced. A site for the Moonstone receiver has not yet been established. An investigation was conducted for an alternate location for the transmitter/receiver site. The only tower available was the Rogers tower located at Highway 11 and Line 12. Costs related to this site were considerable. As such, it was determined that as an alternative, the placing of a receiver at the Cedarbrooke pump house would be attempted to assess if the Department's communication needs were being met. The result is that vehicle communications are fine but there are pockets where pager and hand held communication is missing or lacking. Problem areas are Hawkestone, Warminster, Rugby and Moonstone. to II ANALYSIS: II As such, it appears that the only solution is to locate the transmitter/receiver at the said Rogers Tower and to locate a receiver in the Moonstone area. Staff will investigate options for the Moonstone receiver and report at a later date. We respectfully recommend that immediate action be taken to pursue a lease agreement with Rogers for the placing of the transmitter/receiver on their tower. An updated traffic count was completed in July, 2005, producing a result of 855 vehicles per day. ~ ANALYSIS: II In considering this request, a site visit was completed to review the stopping sight distance along this portion of Line 4 North, in relation to the chart listed in the Roadway Service Standards for roadway speed designations. THE CORPORATION OF THE TOWNSHIP OF ORO-MEDONTE Hereinafter called the "Township" PARTY OF THE SECOND PART WHEREAS the Owner has applied to the Township of Oro-Medonte to permit a single family residence and boathouse on lands described in Schedule "A", attached hereto; AND WHEREAS the Township has enacted a By-law to provide for the designation of the lands as a "Site Plan Control Area"; AND WHEREAS the Owner intends to develop the lands in accordance with the Site Plan attached hereto as Schedule "B"; NOW THEREFORE This Agreement Witnesseth THAT in consideration of the mutual covenants hereinafter contained, the parties hereto hereby covenant and agree as follows: 3 1. COVENANTS BY THE OWNER The Owner covenants and agrees as follows: a) The Owner owns the subject lands described in Schedule "A", attached hereto, and has provided the Township with a Registered Deed containing the legal description of the subject lands. b) This Agreement may be registered against title to these subject lands and shall take priority over any subsequent registrations against Ihe title to the subject lands. c) No work shall be performed on the lands, nor any use made of the subject lands with respect to the proposed development, except in conformity with all the provisions of this Agreement. d) The Owner shall, prior to the execution of this Agreement, obtain all necessary permits and approvals from the Township and from all Ministries and Agencies, including, but not limited to, Ihe County of Simcoe and Lake Simcoe Region Conservation Authority. e) The Owner shall, prior to the execution of this Agreement, pay all municipal taxes and charges related to obtaining the approval of these lands for the intended use. f) The Owner shall pay a refundable deposit for such reasonable costs as may be involved to the Township in having its solicitor, engineer, planner and staff, perform any work in connection with this Agreement, including the preparation, drafting, execution, and registration of this Agreement. The Owner acknowledges and agrees that the Owner shall be responsible for the cost of performance of all the Owner's obligations hereunder, unless the context otherwise requires. Every provision of this Agreement, by which the Owner is obligated in any way, shall be deemed to include the words "at the expense of the Owner", unless specifically stated otherwise. The refundable deposit for expenses and actual cost shall be $N/A. The Owner shall replenish the refundable deposit, to its full amount, when the expenses and actual costs are submitted by the Township. g) The Owner shall have delivered to the Township, all Transfers/Deeds, Discharges and Easements, or other documents required by Schedule "C", as well as certification from the Owner's solicitor that the Transfer/Deeds and Easements shall provide the Township with good title, free and clear from all encumbrances. h) The Owner acknowledges that the lot does not front on an improved public road, that the Township does not or is not required to maintain or snowplow the said road, that the Township wiil not take over or assume the private road as a Township public road or street unless it has been built according to the Township standards, then in force, and that the Township is not liable for any injuries, losses or damages as a consequence of the Township issuing a Building Permit. 2. COVENANTS BY THE TOWNSHIP The Township covenants and agrees as follows: a) That the Township has enacted a By-law to permit a single family home and boathouse described on the Site Plan. b) That the Township agrees that subject to compliance by the Owner with all relevant Municipal By-laws and Provincial Statutes and Regulations, the Owner may proceed to develop the subject lands, as indicated on the Site Plan attached hereto as Schedule "B", subject to the development restrictions contained herein. 4 <6s ~ 1 3. DEVELOPMENT RESTRICTIONS The Parties hereto acknowiedge and agree that any use of the subject lands by the Owner shall be on and subject to the following terms and conditions: a) Site Plan The use and development of the subject lands shall be in accordance with and as set out on the Site Plan, attached hereto as Schedule "B". b) Liahtina All lighting systems installed outside, such as floodlights, shall be directed away from any adjacent residential use and/or roadway, not to cause interference in any way. c) Parkina Areas and Drivewavs All parking areas and driveways shall be constructed in conformity with Sections 5.19 and 5.20 of By-law No. 97-95, as amended, and the Ontario Building Code Regulation #419/86, and such parking areas, loading, and access areas shall be kept free and clear of snow and ice and kept adequately drained. All entrances shall be constructed, as in Schedule "B" attached. The Owner agrees to obtain all necessary approvals from the Ministry of Transportation, County of Simcoe and Township of Oro-Medonte. d) Outside Storaae No outside storage shall be permitted between any buildings on the premises and any street. Any other outside storage shall be contained in the fenced compound, as identified on Schedule "B". e) Garbaae Storaae The Owner agrees to provide suitable storage areas for garbage and waste, as shown on the Site Plan, and to install and maintain litter containers in and around development on the lands. All metal scrap and associated refuse contained in the fenced compound shall be removed on a weekly basis. f) landscaoina The Owner shall complete all landscaping and landscaped areas shown on the Site Plan, attached as Schedule "B", as soon as weather permits, and all grading and sodding required, according to any Engineering drawings submitted, shall be done on all lawn areas. g) Erosion and Siltation Control The Owner must enter into an agreement with lake Simcoe Region Conservation Authority to ensure maintenance of erosion and sediment control measures. The Owner agrees to maintain all erosion and siltation control devices in good repair until vegetative cover has been successfully established. 4. DEVELOPMENT CHANGES The parties acknowledge and agree that there shall be no changes to this Agreement or the Schedules attached hereto, unless and until such changes have been approved by all parties. It is the intention of the parties that material amendments to this Agreement be properly recorded. Such amendments may take the form of a registered Amending Agreement, an unregistered Agreement, exchange of correspondence, Memorandum of Confirmation, or notations on Engineering drawings. The nature of such record of amendment shall depend on circumstances. 5 1~ 5. SECURITY Prior to signing the Agreement, the Owner will deposit, with the Treasurer of the Township, to cover the faithful performance of the obligations of the Owner arising under this Agreement, including but not limited to the construction of the works and services identified in Schedule "D" to this Agreement (the "said Work"), the following securities: a) Cash in the amount of one hundred percent (100%) of the estimated cost of the said work, as approved by the Township Engineer and Township Council, or: b) An irrevocable Letter of Credit from a chartered bank, issued in accordance with the requirements of Schedule "E", with an automatic renewal clause in the amount of one hundred percent (100%) of the estimated costs of the said works, and as approved by the Township Engineer. The Letter of Credit shall be for a minimum guaranteed period of one (1) year, or such time as the Township decides, and shall be renewed automatically, as necessary, thirty (30) days prior to expiration. c) The Township reserves the right to accept or reject any of these alternative methods of providing securities. Prior to depositing the securities, the Owner's Engineer shall submit an estimate of the cost of the works to the Township Engineer for approval. When the cost estimate has been approved, it will be set out in Schedule "D" of this Agreement and will become the basis for the limits of the securities. d) Any Letter of Credit or security filed with the Township is based upon the estimated cost of completing the various matters prescribed by this Agreement. However, all Letters of Credit and security received by the Township may be used as security for any item or any other matter which, under the terms of this Agreement, is the responsibility of the Owner, including without limiting the generality of the foregoing, payment of engineering, legal, planning or other costs incurred by the Township, which are the responsibility of the Owner, under the terms of this Agreement. e) Upon written notification by the Owner's agent, certifying that all required works for which the Letter of Credit was submitted have been completed in accordance with the plans submitted and upon confirmation by the Township or its agent that the Owner's obligations under this Agreement have been completed, the Township will return said Letter of Credit. f) If in the event of default of the Owner under any of the provisions of this Agreement, it becomes necessary for the Township to realize on its security or deposits, then the Township shall give, by registered mail, twenty-one (21) day's notice, its intent to draw down on the security or deposit. 6. COMPLIANCE Any action taken by the Township or on its behalf, pursuant to this Agreement, shall be in addition to and without prejudice to any security or other guarantee given on behalf of the Owner for the performance of its covenants and agreements herein, and upon default on the part of the Owner hereunder, the Township shall, in addition to any other remedy availabie to it, be at liberty to utilize the provisions of Section 325 of the Municipal Act, R.S.O. 1980, Chapter 302, as amended. 7. CO-OPERATION The Owner consents to the registration of this Agreement by the Township, upon the title of the subject lands, at the expense of the Owner and agrees to execute such further and other documents, consents or applications, as required, for the purpose of securing registration and giving effect to the provisions of this Agreement. 6 8. BINDING EFFECT 4JC\-'\ This Agreement, and everything contained herein, shall be binding upon the successors and assigns of the parties hereto, and upon the lands described in Schedule "A", attached hereto, such Schedule being a legal description of the lands, and it is further agreed that this Agreement shall be prepared, approved and registered on title. 9. SEVERABILITY OF CLAUSES Should any section, subsection, clause, paragraph, or provision of this Agreement be declared by a Court of competent jurisdiction to be invalid, the same shall not affect the validity of the Agreement as a whole or any part thereof, other than the provision so declared to be invalid. 10. SAVE HARMLESS The Owner, on behalf of itself, its successors and assigns, agrees to indemnify and save harmless, the Township from and against any and all claims, suits, actions and demands whatsoever, which may arise either directly or indirectly by reason of any work or service performed by the Township, its servants or sub-contractors in order to complete the work or services required to be completed under this Agreement, provided the subject matter of such action, suits, claims or demands was not caused intentionally or through gross negligence on the part of the Township, its servants or agents or sub-contractors.
